Moved: Deputy Mayor Scaglione Seconded: Trustee Andruss Absent: Trustee Sheeran Vote: 6-0 ����Meeting Date: 02/11/2025 Resolution #: 02/31/2025 RESOLUTION OF THE BOARD OF TRUSTEES OF THE VILLAGE OF SLEEPY HOLLOW IN GENERAL SUPPORT OF AND DIRECTION TO THE TO THE SLEEPY HOLLOW LOCAL DEVELOPMENT CORPORATION (THE “SHLDC”) IN CONNECTION WITH THE EAST PARCEL REDEVELOPMENT PROJECT (PHASE III) WHEREAS, the Village of Sleepy Hollow, New York (the “Village”) is undertaking the comprehensive redevelopment and adaptive reuse of the East Parcel as a municipal public facilities and recreation complex (the “East Parcel Project”), such proposed East Parcel Project to include buildings and infrastructure to serve the Department of Public Works of the Village of Sleepy Hollow (the “DPW”), a bus garage and repair facility for the Union Free School District of the Tarrytowns, public recreation and community facilities to include multi-use fields and related improvements, and parking improvements for the Village, public and not-for-profit usage, and related utilities and infrastructure that may include a vehicle and/or pedestrian bridge to serve the East Parcel; and WHEREAS, the Sleepy Hollow Local Development Corporation (the “SHLDC”) owns a certain parcel of real estate commonly referred to as the “East Parcel” comprising approximately 28 acres identified by TMID No. 115.11-1-2, and is currently engaged in Phase II development contemplated under the East Parcel Project; and WHEREAS, pursuant to the Resolution # 12/09/2020, the SHLDC previously issued Sleepy Hollow Local Development Corporation Tax-Exempt Revenue Bonds (Village of Sleepy Hollow East Parcel Redevelopment Project – Phase II), Series 2020 (the “2020 Bonds”) not to exceed aggregate principal amount of $35,000,000; and WHEREAS, in connection with the issuance of the 2020 Bonds, the SHLDC and the Village entered into an Amended and Restated Lease Agreement, dated as of December 1, 2020 (the “2020 Lease Agreement”), pursuant to which the SHLDC leases the Facility to the Village in return for rent payments by the Village, subject to annual appropriation, in an amount sufficient to pay, among other things, the principal and interest on the 2020 Bonds; and WHEREAS, Phase II of the East Parcel Project is expected to be completed (or will be near completion) by the summer of 2025; and WHEREAS, in order to continue with Phase III of the East Parcel Project, additional project funding and other undertakings will be required; and WHEREAS, upon completion of the Phase III of the East Parcel Project, the existing DPW facility will be redundant and, therefore, the property will be available for sale or redevelopment; and 1 �NOW, THEREORE, BE IT RESOLVED, that the Board of Trustees of the Village of Sleepy Hollow believes it is important to provide general support and direction to the SHLDC in connection with the East Parcel Project as follows: i. Prior to approval of transfer and redevelopment of the existing DPW to the SHLDC, the Village will follow the public hearing and approval process under N-PCL 1411(d), and will complete SEQRA review process; ii. Once the 1411(d) process has been completed but before the SHLDC undertakes full marketing efforts, has identified and selected a developer, and executed an appropriate land disposition agreement (LDA), the Village will consider approval of an exclusive option to the SHLDC for the existing DPW property in order to allow the SHLDC and the selected developer to pursue all zoning, planning and SEQRA review steps for redevelopment during LDA contingency period; iii. Once contingencies are met, approvals secured and developer financing confirmed, actual title transfer could occur; and iv. Formal approval by the Village of another SHLDC bond issuance to finance construction of the new DPW would, by necessity, have to follow several steps by the Village and SHLDC, including: a. Update design and value engineering of the new DPW facility; b. Update construction cost estimates for consideration by the Board of Trustees and SHLDC; c. Review updated design and confirm whether existing site plan and SEQRA review are sufficiently broad in order to proceed, or whether any redesign would require re-opening Site Plan and/or SEQRA for the East Parcel; d. Engage a financial advisor and/or placement agent to assist with financial modeling and placement of bonds to refinance existing debt and new debt to be issued (which in turn would inform the Village regarding bond amortizations and long term lease payment requirements); e. Once project is redesigned, permitted and general financing needs understood, SHLDC would begin the bond issuance; f. As part of the bond issuance process, and once final principal amounts and project scopes are completed, SHLDC would require approval by the Board of Trustees to amend the existing lease agreement and formally approve the final terms of bond issuance; g. On a parallel track with marketing, underwriting and issuing of the bonds, SHLDC would need to procure a new design-build with Guaranteed Maximum Price (GMP) construction contract for the new DPW, and work with the Village to confirm what elements, if any, would be directly undertaken by the Village as tenant, the amount of this contract (with contingency amounts) being directly tied to the financing; 2 �h. Once new bonds are issued and GMP executed, the construction process would begin with an identifiable completion schedule that will inform the Village and SHLDC as to when DPW operations can move and how that process will dovetail with the developer LDA for sale of the existing DPW site. BE IT FURTHER RESOLVED, that the Mayor and Village Administrator of the Village are hereby authorized and directed to sign any documents and take any additional steps necessary to effectuate the foregoing, subject to review by the Village attorney.
