A regular meeting of the Board of Trustees wn.s held on Tuesday, November 28,
2006 in Village Hall, 28 Beekman Avenue, Sleepy Hollow, New York,

Mayor Zegarelli called the meeting to order at 8:25 pm with a prayer and pledge to
the flag.
He asked that everyone remain standing for a moment of silence for Ted Wilsher,
former Auxiliary Police Officer.
Trustee DeFelice moved, seconded by Trustee Capossela to come out of executive
session where personnel issues were discussed but no formal action was taken,
carried.
Approval of Minutes
Trustee DiFelice moved, seconded by Trustee Spota to approve the minutes of
October 24, 2006, motion carried unanimously.
Trustee Spota moved, seconded by Trustee Capossela to approve the minutes of
November 7, 2006, motion carried unanimously.
Trustee Capossela moved, seconded by Trustee Grala to approve the minutes of
November 14, 2006, motion carried unanimously.
Approval of W a r r a n t
Trustee Grala moved, seconded by Trustee Morales to approve the w a r r a n t of
November 28, 2006 subject to review, and approval of department heads , Chairs of
committees a n d signature and approval of the Mayor and Village Treasurer.
Trustee Capossela wanted the bills for the hayride to be pulled until further review
by the committee, board members agreed.
Trustee Spota wanted the bills to Bond, Schoeneck and King to be pulled. Our
Village Attorney, Robert Ponzini commented that these bills are for ongoing
litigation that they are handling and cannot be pulled. With these comments noted,
motion carried 4-3 with Trustees Grala, M u r r a y , Morales and Mayor Zegarelli
voting yes, and Trustees Capossela, Spota and DiFelice voting no.
Total of the w a r r a n t is $859,136.56.

�Public Hearing
Dwight Douglas, Village Administrator read the attached public hearing notice
regarding the PFEIS.
Mayor Zegarelli gave a brief explanation and Dave Smith of Saccardi &amp; Schiff gave
an overview of the PFEIS and presented the Village Clerk with an affidavit of
service. (Part of the minutes)
Mr. Smith gave a summary of the proposed action with a basic background,
background.
Alice Shane, Preserve Manager, of the Rockefeller State Park Preserve, asked if
there would be an interconnect between the two systems.
Dave Smith responded yes and Mayor Zegarelli gave a brief explanation on how it
would work.
Frank Occhipinti questioned the capacity of the new tank, stating that if it only is
going to hold 1.6 million gallons and it should be 2.4 million gallons how will that be
possible.
Dave Smith explained as he did in his presentation that there will still be 8 million
Darren gallons existing from the old tank.
Mario Belanich also questioned the capacity of the new tank and Dave Smith
explained. Mr. Belanich asked if this new tank is needed because of the GM
development.
He was told that a much larger tank is needed and not because of the GM
development alone.
Keith Safian, President and CEO of Phelps Memorial Hospital, commented that the
hospital is well aware of this project and very happy with it.
Mr. Douglas, Village Administrator, commented that we did receive correspondence
from the New York State Department of Parks and Recreation Historic
Preservation dated November 28, 2006 ; a letter from Daniel Tune????regarding
the FEIS public hearing.
There being no further comments, Trustee Morales moved, seconded by Trustee
Murray to close the hearing, carried.
Public Comments
Diane Abboud of 249 No. Broadway thanked Joe DeFeo, Richard Gross, Sean
McCarthy and the Mayor for helping her mother with the problem that she had.
They really appreciated what they did.

�Mario Belanich asked about the parking situation during a snow emergency and
suggested that the cars be allowed to park on Pierson Avenue and BeHwood Avenue
on an emergency basis when they have to move.
Trustee Reports
Trustee DiFelice read the attached Public Works Report.
Trustee Spota reported that the Police Committee met on November 7, 2006.
The Public Safety Committee met on November 20, 2006 and was represented by
Pete Dresden of the Ambulance Corp. and Lt. Lee of the Auxiliary Police. The next
meeting will be on January 22, 2007.
Trustee Capossela read the attached Parks Report and reported on several
recreation activities such as youth basketball. Also, the boxes for letters to santa
will be put out in various locations next week and Santa will arrive in village hall on
December 15th.
Trustee Grala reported that the Library Board met on November 16th and they
received two bids for the HVAC system and are awaiting one more. They have
received eleven bids on the proposed alarm system.
Jennifer Ross, Director of Warner Library, has come up with many great fund
raising ideas for their meeting on December 6th.
Ralph Gunderman and several residents are on the Website Committee, the
newsletter is now in draft form and ready to go and the cable contract discussions
with Verizon is ongoing.
Trustee Capossela commented that the board should discuss funding to the Wolfpak
at their next meeting.
Trustee Morales read the attached Administration Report.
Trustee Murray reported that the Downtown Revitalization Committee met on
December 12th to discuss the facade improvements.
Mayor's Report
Mayor Zegarelli commented that December 10, 2006 is the tenth anniversary of the
name change
Administrator's Report
Dwight Douglas commented that on resolution R-2, the December 19th worksession
date should be changed to January 3, 2007. Also, resolution R-4 should be removed
from tonight's agenda.
He reported that Horan's Landing is under construction.

�The newsletter should be going out to residents around December 10 \
Mr. Douglas commented that a bid opening on the connection to the Briarcliff water
system will take place on December 6th at 2 pm.

November 28, 2006
Leaf pick up is almost 8 5 % complete.
W e will pick them up almost every day loose or in bags when placed at the curb.
C u r b repairs on Washington Street and corner of College Avenue will be taking
place shortly.
Christmas decorations should be completed by the first week in December.
W a t e r meter reading is almost completed.
Seven fire hydrants have been rebuilt so they will be operating properly.
Fremont Pond retention pond has been fenced in for security purposes.
Blacktop on the site for the senior center is in the process of being removed today by
DPW.
Department of Public Works should be able start the excavation for the foundation
within a week.

�Parks Report
November 28, 2006
Water has been turned off in all the parks.
Wood is being ordered for the gazebo at Kingsland.
The parks cleanup of all the leaves will take place once all the leaves throughout the
village have been picked up.
The reconstruction of Barnhart park has started by Dept. of Public Works. The
new water and sewer lines and electrical services will be installed at Barnhart park
by the Dept. of Public Works employees within a week to service the new building.

New truck lifts have been installed at the village garage as p a r t of capital
improvements.
The following projects have been completed in the ambulance buildings by the Dept.
of Public Works:
We have re-secured main beam holding down brackets in front of ambulance
building.
We replaced ceiling tiles in the bathroom at ambulance building and all electrical
outlets are covered.
The windows in the old ambulance building have been replaced and new windows
have been installed in the new building and have been insulated.
We have cleaned the boiler room.
The electrical safety eye o n the ambulance door has been re-adjusted for safety.
We have built a supply closet in the ambulance building.
Rubber treads have been placed on the rear steps for safety.
The cracks in the wall and ceiling of the ambulance building have been plastered
and painted.

Authorizing One Year Maintenance Contract

WHEREAS, the Village Administrator solicited three companies to provide proposals for an
annual maintenance agreement for the period October 1, 2006 through October 1, 2007 for the
Village's heating, ventilating and air-conditioning equipment, and
WHEREAS, a low price proposal was received from Clover Heating &amp; Cooling of North
Broadway, Sleepy Hollow, New York at a price of $5,932.46.
NOW THEREFORE BE IT RESOLVED that the Village Board of Trustees herein authorizes the
Mayor to execute a one year maintenance agreement for the period October 1, 2006 through
October 1, 2007 with Clover Heating &amp; Cooling at a total cost not to exceed $5,932.46

Resolution Approving the Execution of the Prisoner Transportation IMA with
Westchester County
WHEREAS, the Village of Sleepy Hollow ("Sleepy Hollow") operates a police
department and Justice Court that results from time to time in the detention of prisoners,
and
WHEREAS, the County of Westchester ("County"), pursuant to Sections 500-c and 500d of the Corrections Law of the State of New York is required to transport prisoners from
local municipalities to the Westchester County Jail in Valhalla, New York, and
WHEREAS, Sleepy Hollow and the County agree that It Is beneficial to each of them to
cooperate in the providing of such prisoner transportation, and
WHEREAS, the County has submitted to Sleepy Hollow an Inter-municipal agreement
("IMA") that provides for the transportation of prisoners by Sleepy Hollow on behalf of
the County in return for a zone rate reimbursement, and
WHEREAS, this IMA has been reviewed by the Village Attorney with respect to legality
and form,

PRISONER TRANSPORTATION-ZONE RATE

THIS AGREEMENT, made this

day of

by and between:
THE COUNTY OF WESTCHESTER, a municipal corporation of the State
of New York having an office and place of business in the Michaelian Office
Building, 148 Martine Avenue, White Plains, New York 10601

I

(hereinafter referred to as the ''County")
and
The Village of Sleepy Hollow, a municipality of the State of New York
having its office and place of business at, 28 Beekman Avenue, Sleepy
Hollow, New York 10591.

(hereinafter referred to as the "Municipality")

WHEREAS, pursuant to Sections 500-c and 500-d of the Corrections law
prisoners are required to b e transported from local municipalities to the Westchester County
Jail in Valhalla, New York; and

WHEREAS, the County and the Municipality agree to cooperate in providing
such prisoner transportation.

NOW, THEREFORE, in consideration of the terms and conditions herein
contained, the County and the Municipality agree as follows:

1. PRISONER TRANSPORTATION: Except for prisoners arrested by the
Westchester County Department of Public Safety, the Municipality shall provide round trip
prisoner transportation using its own police department personnel and vehicles between the
Municipality and the Westchester County Department of Correction for all prisoners
remanded to the Westchester County Jail by court order or required to appear before the local

�court witliin the Municipality. The County will reimburse the Municipality for the actual
number of round trips. All municipalities, where possible, shall hold prisoners for one daily
trip to the Department of Correction.
2. REIMBURSEMENT: The Municipality shall be reimbursed by the County
for prisoner transportation services at the rate plus mileage per round trip indicated in the
Zone Rate Plan attached hereto as Appendix "A" and made a part hereof. The rate will be
paid as follows:
For transportation to County Jail subsequent to arrest - 1 round trip plus
mileage;
For Transportation from County Jail to local court; no return - 1 round trip
plus mileage;
For Transportation from County Jail to local court; remand to County Jail,
where the time expended does not exceed three (3) hours - 2 round trips plus
mileage;
Only in the following circumstances will an hourly rate and mileage fee be paid,
as an alternative to the zone rate set forth above:
a.

Transportation of female prisoners (1 officer and 1 matron). A minimum
of four (4) hours will be reimbursed for a matron; or

b.

Transportation of seven (7) or more prisoners (requiring an additional
officer); or

c.

Transportation of prisoners charged with Class A felonies OR classified by
Department of Correction as an "A" or "AA" prisoner considered to
present danger may warrant (requiring an additional officer); or

d.

Transportation from County Jail to local court and remand to County Jail
where time expended exceeds three (3) hours.

In the event that any one of conditions "a" through "d" above are met, then the
actual per hour personnel costs incurred by the Municipality will be paid at the hourly wage
and fringe benefit cost as determined in the applicable collective bargaining agreement

between the Municipality and the Municipal Police Association for police officers and/or
matrons plus a mileage.
Reimbursement for mileage shall be at the rate of forty-four cents ($.44) per
mile, or at the then current Internal Revenue Service mileage rate, multiplied by the mileage
indicated in Appendix "A".
3. MEALS: The County shall reimburse the Municipality for meals provided to
post-arraignment prisoners for the actual and reasonable costs incurred and receipts submitted as
part of the municipality's monthly voucher submitted to the Department of Correction.
4. TERM: This Agreement shall commence on January 1, 2007 and shall
terminate on December 31, 2008. The County may, upon thirty (30) days written notice to
the Municipality, terminate this Agreement in whole or in part when it deems it to be in its
best interest. In such event, the Municipality shall be compensated and the County shall be
liable only for payment for services rendered prior to the effective date of termination.
5. PAYMENT: Requests for reimbursement shall be submitted by the
Municipality on a monthly basis on properly executed County claim forms and paid after
approval by the Commissioner of Correction. The number of round trips made, prisoners
transported and dates should be listed on the claim forms submitted to the Department of
Correction. Reimbursement request shall be subject to audit by the County, and the Municipality
shall keep and make available to the County such detailed books and records as are reasonably
necessary to substantiate the basis for reimbursement. The Municipality shall not be entitled to
reimbursement for any prisoner transportation expense not specifically provided for herein.
The total aggregate cost to the County under this Agreement and the agreements
with the other municipalities for zone rate prisoner transportation pursuant to the Resolution
approved by the Board of Acquisition and Contract on November 9, 2006, shall not exceed
$926,000. This Agreement shall be deemed executory only to the extent of the monies

�appropriated and available for the purpose of this Agreement and no liability on account
hereof shall be incurred by the County beyond the amount of such monies.
6. INSURANCE AND INDEMNIFICATION: All personnel and vehicles
engaged in prisoner transportation duties shall at all times remain and be deemed the
employees and property of the Municipality. In addition to, and not in limitation of the
insurance provisions contained in Schedule "B" of this Agreement, the Municipality agrees
to indemnify, defend and hold the County, its officers, employees and agents harmless from
and against any and all liability, loss, damage or expense the County may suffer as a result of
any and all claims, demands, causes of action or judgments arising directly or indirectly out
of the transportation of prisoners for which reimbursement is sought hereunder for losses
arising out of the negligent acts or omissions of the Municipality, its agents or employees.
7. ENTIRE AGREEMENT: This Agreement constitutes the entire and integrated
agreement between and among the parties hereto and supersedes any and all prior negotiations,
agreements and conditions, whether written or oral. Any modification or amendment to this
Agreement shall be void unless it is in writing and subscribed by the party to be charged.
7. APPLICABLE LAW: This Agreement shall be construed and enforced in
accordance with the laws of the State of New York.
8. APPROVALS: This Agreement is subject to the approval of the Westchester
County Board of Legislators, the Westchester County Board of Acquisition and Contract and
the governing legislative body of the Municipality.

STANDARD INSURANCE PROVISIONS
(MUNICIPALITY)
1. Prior to commencing work, the Municipality shall obtain at its own cost and
expense the required insurance from insurance companies licensed in the State of New York,
carrying a Best's financial rating of A or better, and shall provide evidence of such insurance to
the County of Westchester, as maybe required and approved by the Director of Risk
Management of the County. The policies or certificates thereof shall provide that thirty days
prior to cancellation or material change in the policy, notices of same shall be given to the
Director of Risk Management of the County of Westchester by registered mail, return receipt
requested, for all of the following stated insurance policies. All notices shall name the
Municipality and identify the Agreement.
If at any time any of the policies required herein shall be or become unsatisfactory
to the County, as to form or substance, or if a company issuing any such policy shall be or
become unsatisfactory to the County, the Municipality shall upon notice to that effect from the
County, promptly obtain a new policy, submit the same to the Department of Risk Management
of the County of Westchester for approval and submit a certificate thereof. Upon failure of the
Municipality to furnish, deliver and maintain such insurance, the Agreement, at the election of
the County, may be declared suspended, discontinued or terminated. Failure of the Municipality
to take out, maintain, or the taking out or maintenance of any required insurance, shall not
relieve the Municipality from any liability under the Agreement, nor shall the insurance
requirements be construed to conflict with or otherwise limit the contractual obligations of the
Municipality concerning indemnification. All property losses shall be made payable to and
adjusted with the County.
In the event that claims, for which the County may be liable, in excess of the
insured amounts provided herein are filed by reason of any operations under the Agreement, the
amount of excess of such claims or any portion thereof, may be withheld from payment due or to
become due the Municipality until such time as the Municipality shall furnish such additional
security covering such claims in form satisfactory to the County of Westchester.
2. The Municipality shall provide proof of the following coverage (if additional
coverage is required for a specific agreement, those requirements will be described in the
"Special Conditions" of the contract specifications):
(a) Workers' Compensation. Certificate form C-105.2 or State Fund Insurance
Company form U--26.3 is required for proof of compliance with the New York State Workers'
Compensation Law.
State Workers' Compensation Board form DB-120.1 is required for proof of
compliance with the New York State Disability Benefits Law. Location of operation shall be

All Contracts involving the use of explosives and demolition shall provide the
above coverage with elimination of the XCU exclusion from the policy, or proof that XCU is
covered.
(d) Automobile Liability Insurance with a minimum limit of liability per
occurrence of $1,000,000 for bodily injury and a minimum limit of $100,000 per occurrence for
property damage or a combined single limit of $1,000,000 unless otherwise indicated in the
contract specifications. This insurance shall include for bodily injury and property damage the
following coverages:
(i) Owned automobiles,
(ii) Hired automobiles,
(iii) Non-owned automobiles.

WHEREAS, the Village of Sleepy Hollow ("the Village") and the United Federation of
Police Officers, Inc., Sleepy Hollow Municipal Employee's Unit, ("the Union"), are parties to a
collective bargaining agreement that expired on May 31, 2005; and
WHEREAS, the negotiating committees for the Village and the Union have agreed upon
the terms of a Memorandum of Agreement, dated November, 2006, which sets forth the terms of
a successor agreement for the period from June 1, 2005 through May 31, 2009; and
WHEREAS, that Agreement provides that it is subject to ratification by the Village
Board of Trustees; and
WHEREAS, the members of the negotiating committee for the Village have
recommended unanimously that the Memorandum of Agreement be ratified by the Board of
Trustees;
NOW, THEREFORE, BE IT RESOLVED that the Memorandum of Agreement
between the Village and the Union dated November, 2006, is hereby ratified; and be it further
RESOLVED that the Village Treasurer and all other appropriate Village officials are
hereby authorized and directed to implement the provisions of the Memorandum of Agreement;
and be it further
RESOLVED that the Mayor is authorized to execute a contract for the period from

Resolution of the Mayor and Board of Trustees of the Village of Sleepy Hollow
Providing Ten Interim Parking Spaces at the
Barn hart Park Parking Lot
WHEREAS, the Mayor and Board of Trustees have received a request from Mountco, the
deveioper of the senior housing project on Valley Street, for the set aside of ten spaces in the
municipally-owned lot known as the Barnhart Park Parking Lot; and
WHEREAS, it is a requirement of Mountco's approval for the construction of the 64-unit
affordable housing project on Valley Street that adequate off-street, interim parking be provided
during the construction period; and
WHEREAS, adequate space remains available at the Barnhart Park Parking Lot to
accommodate this request; and
WHEREAS, the Mayor and Board of Trustees fully support this affordable housing initiative.
NOW, THEREFORE, BE IT RESOLVED that the Mayor and Board of Trustees herein authorize
the allocation of ten parking spaces pursuant to the request of Mountco as contained in their
November 17, 2006 letter to Sean McCarthy, Village Architect, said parking spaces to be made
available on a monthly basis and reviewed to ensure that applications are not received from
residents of the immediate neighborhood for the use of these same spaces, and subject to all
required permit fees being paid.

Authorizing the Mayor to Execute the Attached IMA for Actuary Services

WHEREAS, pursuant to state legislation, the Village must comply with GASB 45 requirements
for the fiscal year 2008; and
WHEREAS, said compliance includes the hiring of an actuary to perform services associated
with this new GASB regulation; and
WHEREAS, other municipalities have joined together to contract for these services in order to
receive the benefit of group pricing.
NOW, THEREFORE, BE IT RESOLVED that Philip E. Zegarelli, Mayor of the Village of Sleepy
Hollow, is hereby authorized and directed to sign the attached IMA and to take other such steps
as are necessary to effectuate the intent of this resolution.

Resolution of the Mayor and Board of Trustees of the Village of Sleepy Hollow
Funding of Beekman Avenue Facade Improvement Program
Architectural Services
WHEREAS, the Village of Sleepy Hollow strongly supports the efforts of the Sleepy Hollow
Downtown Revitalization Corporation ("SHDRC) program; and
WHEREAS, the SHDRC has received a $200,000 grant, $175,000 of which is to be granted to
participating property owners on Beekman Avenue for facade renovations and requires a dollar
for dollar match from the property owners; and
WHEREAS, pursuant to SHDRC's negotiations with the CPC, the CPC will provide matching low
interest loans for said fagade improvements and will fund one half of needed architectural
services; and
WHEREAS, the SHDRC has requested that the Village of Sleepy Hollow provide the remaining
$5,000 necessary for said architectural and related services; and
WHEREAS, a planned meeting of the SHDRC 501(c)(3) board to contract with the architect is
set for December 11, 2006.
NOW, THEREFORE, BE IT RESOLVED, that the Mayor and Board of Trustees herein
authorizes a grant to the SHDRC of $5,000 to be disbursed from the Village's contingency
account, said funds to be used for architectural and related services to implement the Beekman
Avenue Fagade Improvement program.
