Present: Mayor Philip E. Zegarelli Deputy Mayor Mario DiFelice Maria DeMilia-Powers Sandra Morales Andrew Murray Ken Wray Kay Grala Trustees Also Present: Dwight H. Douglas, Village Administrator Robert Ponzini, Village Counsel Joel Sachs, Special Counsel David Smith, Planning Consultant Sean McCarthy, Building Inspector Nick Robinson, Planning Board Chairman Craig Werle, Environmental Engineer Vince Toomey, Special Labor Counsel Desmond Lyons, Village Prosecutor Mayor Zegarelli called the meeting to order at 7 p.m. On a motion of Trustee DiFelice, seconded by Trustee Murray the board entered into executive session to receive an update from Labor Counsel and the Village Prosecutor on the status of various litigation matters. The executive session ended at 8 p.m. Labor Counsel Toomey and Prosecutor Lyons left the meeting and the village board continued with their work session agenda. After discussion with Craig Werle on the environmental monitoring to be conducted by his firm, Roux Associates for compliance with the recently approved IRM for the General Motors site, a follow up review of the draft Findings issues for the proposed Lighthouse Landing development was held, led by David Smith and Joel Sachs. The review session was also attended by the Planning Board Chair, Nick Robinson, and by Jon Stein, representing the applicant, along with the applicant's consultants, Andrew Tung of Divney,Tung, Schwalbe, and Peter Wise and Mark Weingarten, attorneys. The review session lasted until approximately 9:30 p.m. At 9:44 p.m. the Mayor called the Board into special session. On a motion of Trustee Murray seconded by Trustee Grala and subject to the review, and approval of the Mayor, the subject department heads, the trustee subcommittee chairs and the Village Treasurer 1 �ani the warrant of July 17th, 2007 and any vouchers as consolidated in said warrant were unanimously approved. The attached resolutions were acted upon as shown. At 10:00 p.m. on a motion of Trustee DeMilia-Powers, seconded by Trustee DiFelice and carried unanimously the special meeting was adjourned. Douglas ^ Village Administrator ^* D I �Meeting Date: Resolution #: 07/17/07 07/148/07 Resolution of the Board of Trustees of the Village of Sleepy Hollow Recommending the Nextel Site Plan to the Planning Board WHEREAS, the Village of Sleepy Hollow by prior action entered into a lease agreement with the Nextel Corporation to occupy a portion of the former Elm Street parking lot; and WHEREAS, in response to issues raised by the Planning Board and the Board of Trustees, the Village Architect, Sean McCarthy, has prepared a site plan for Nextel's use of this lot portion which include provision for off-street parking to support the new adjacent senior center; and WHEREAS, Nextel has agreed to move forward the site plan in general concurrence with that drawn by Mr. McCarthy; and WHEREAS, the Planning Board has requested that the Board of Trustees provide a written recommendation as the owner of the land in support of Nextel's revised site plan application. NOW, THEREFORE, BE IT RESOLVED that the Board of Trustees indicates its concurrence with the Nextel site plan as modified in accord with the plan drawn by Sean McCarthy. Moved: Trustee Murray Seconded: Trustee Grala Vote: 5-2 By roll call: Trustees DiFelice, Murray, Grala, Morales and Mayor Zegarelli vote: yes Trustees DeMilia-Powers and Wray vote: no �\°\ Meeting Date: Resolution #: 07/17/07 07/149/07 Resolution of the Board of Trustees of the Village of Sleepy Hollow Authorizing Execution of Letter Agreement with Roux Associates for Brownfields Clean Up Monitoring WHEREAS, the Village of Sleepy Hollow has previously contracted with Roux Associates of 209 Shatter Street, Islandia, New York 11749 to provide environmental engineering expertise in overseeing the Brownfields clean up proposal for the General Motors ("GM") site; and WHEREAS, the Department of Environmental Conservation has approved an Interim Remedial Measure permitting the owner of the GM site to undertake certain clean up activities; and WHEREAS, the Village of Sleepy Hollow is desirous of having said clean up activities carefully monitored by a qualified firm; and WHEREAS, GM and the developer, Roseland Property Co., have agreed to pay for these environmental monitoring services through an escrow account; and WHEREAS, a proposal was solicited from Roux Associates dated June 22, 2007 to provide the necessary services as detailed therein and as further described at a meeting of the Board of Trustees held on July 17, 2007. NOW, THEREFORE, BE IT RESOLVED that the Board of Trustees herein authorizes the Mayor to enter into an agreement with Roux Associates in conformance with its June 22, 2007 proposal (attached) as amended and approved by Counsel and to take such other steps as are necessary to effectuate the intent of this resolution. (Roux Associates) is pleased to present the Village of Sleepy Hollow (VSH), New York with our proposal for providing an environmental monitor to observe and document the progress of the Interim Remedial Measures (IRJVls) at the former General Motors (GM) Tarrytown Assembly plant. Presented below is a description of our proposed scope of services and a cost proposal. Scope of Services I Task 1: Provide an Environmental Monitor Roux Associates will provide an environmental monitor to observe and document the progress of the IRM implementation that is to be conducted by GM's consultants and contractors at the former Assembly Plant. The monitor's general role will be to work with and supplement the VSH Building Department staff and report on the contractor's adherence to the provisions of the Village's permit requirements and Planning Board's Findings. The monitor's duties will include but not be limited to the following: • Document all offsite shipments of contaminated soil and other materials. • Observe implementation of the Community Air Monitoring Program (CAMP) including the quantitative measurements of all monitoring devices. • Observe and photodocument the placement of the demarcation barrier in all remedial excavations. • Review clean fill documentation as the material enters the site prior to placement. • Report on a periodic basis to VSH Building Department personnel on all aspects of the remediation. The frequency of the reporting will be determined by VSH. VSH127401Y11O/I.P I �Mr. Dwight Douglas June 22, 2007 Page 2 The duties of the Roux Associates' monitor will be flexible and responsive to the needs of the Village Building Department and VSH administration. Task 2 Project Reporting The Roux Associates personnel (the monitor and/or Craig Werle, as requested) will report on the status of the remediation to the Village Trustees and the Citizens Committee on a schedule to be determined by the Village. Written summaries will be prepared documenting all site activities based on the needs of the Village Project Staffing Roux Associates proposes to staff the position of the environmental monitor with Frank Amorosana. Mr. Amorosana is a staff geologist with over one year in experience on projects that are directly relevant to the Sleepy Hollow monitor assignment. For the last six months he has been working at a site in Rego Park, New York, monitoring the excavation of over 200,000 cubic yards of lead-contaminated soils for a major developer. He is thoroughly familiar with the daily operations of large soil remediation projects. Mr. Amorosana graduated with a BS in Geology from Binghamton University in 2006. Mr. Amorosana lives in New Rochelle, New York. Project Schedule Roux Associates will begin monitoring duties when requested by VSH. Our staffing will be flexible and will be tailored to the needs of the Village. Roux Associates will continue to provide an environmental monitor throughout the active phase of the remediation as requested by the Village. Our expectation is that this assignment will have a duration of three to four months and will begin in early July. Project Costs Roux Associates proposes to work on this assignment on a time and material basis because it is not possible to accurately estimate the time that will be spent on this assignment. The hourly rates of key individuals are as follows: . Craig A. Werle, P.G. • Frank Amorosana $190/hour $90/hour Invoices will be submitted monthly with payment expected within 30 days. The performance of sendees by Roux Associates, Inc. shail be governed by the Roux Associates, Inc. Client Agreement previously executed with the Village of Sleepy Hollow on March 4, 2005. If this proposal is acceptable to you, please indicate your agreement authorized Village official sign a copy of this proposal in the space returning to the undersigned an executed copy of this proposal. Upon acceptance copy, Roux Associates, Inc. will commence the performance described in this proposal.
