PROFESSIONAL SERVICES AGREEMENT This Professional Services Agreement (this "Agreement") is made between NetSoft Solutions, Inc., a New York Corporation with its principal place of business at One Bridge Street, Suite 95, Irvington, NY 10533, and The Village of Sleepy Hollow, NY 10591. In consideration of the mutual covenants contained herein, NetSoft Solutions, Inc. and The Village of Sleepy Hollow hereby agree as follows: Section 1. THE SERVICES Section 2. T E R M AND TERMINATION Under the terms of this agreement, NetSoft Solutions, Inc. agrees to provide consulting services to The Village of Sleepy Hollow to provide technical support and enhancements for the sleepyhollowny.gov website. These services will be provided on an hourly Time and Materials basis and will be billed monthly. This contract will begin upon both parties signing this contract and agreeing upon a work start date. This Agreement may be terminated by either party, with or without cause, at any time. Village of Sleepy Hollow will be responsible for the charges for all work performed by NetSoft Solutions, Inc. up until the date of termination. 2.1 TIME AND MA TERIALS The work described in this contract is being performed on a Time and Materials basis by NetSoft Solutions, Inc. Services are being performed by NetSoft Solutions, Inc. on a best effort basis, without promise or expectation of a guaranteed result. Work will be performed in a professional-like manner, but will, otherwise, be accepted by Village of Sleepy Hollow "as is". sections. 3.1 COMPENSATION CONSULTING RATE NetSoft Solutions' will provide the described consulting services at the rate of seventyfive dollars ($75) per hour. �3.2 WORK ESTIMA TES The consulting hours will used to perform the task associated with modifying and supporting the sleepyhollowny.gov website and the Joomla open source web portal software. This includes but is not limited to web site design, database design, PHP and HTML programming and Joomla updates, installation and support. The following is an estimate for the work requested by The Village of Sleepy Hollow: Task 1) Website Calendar - Implement a dynamic Calendar on the village Website. This can be accomplished by utilizing one of the Joomla Calendar Extensions. This includes installing and setting up a Joomla Calendar Extension. Hours 10 30 2) Parks & Rec Online Permit form - Implement a web form to allow users to enter the Park Permit information online. Once entered it will email the request to the Parks and Rec Administrator and send an email back to the user to let them know that their application is being processed. 3) Alert Notifications - Implement a webpage to allow the users to sign up 20 for email alerts from the Village. This can be accomplished by utilizing a Joomla Newsletter extension that allows the end users to sign up to be on the distribution list for this service. The newsletter administrator can then distribute an email notification to all members of the newsletter group. There can separate newsletter setup for different departments if necessary. An alternate solution may need to be proposed base upon the exact requirements of the Village of Sleepy Hollow staff. This will be identified as part of the design phase of this project. 4) Adhoc Training on using the Joomla Administration module. 10 5) Content Data Entry - This includes updating the site with the requested changes from the Village of Sleepy Hollow staff. It assumes a workload of approximately 10 hours per month. It does not include writing content. 120 6) Webpage Design - Design 5 alternate templates based on various time 40 of the year and holiday seasons. These alternate templates will be modifications of the existing theme and website design. The themes and holiday seasons will be determined by the Village of Sleepy Hollow staff. 7) Resolve Misc. Support Issues with the sleepyhollowny.gov website and 50 Joomla open source web portal software. These estimates are based on information know at this time and may change as we have an opportunity to review the requirements and design with the end users. �3.3 PA YMENT SCHEDULE NetSoft Solutions, Inc. will invoice The Village of Sleepy Hollow at the end of each calendar month for professional services rendered during that month. Payment of all charges is overdue if not paid within 30 days from receipt of invoice. Failure of The Village of Sleepy Hollow to pay the charges when due will be sufficient cause for NetSoft Solutions, Inc. to suspend or terminate the Services under this Agreement. The invoice may include any additional software licenses required to implement any of these website enhancements. As part of the design phase of these solutions some 3 party software may be identified by Netsoft Solutions, Inc. as necessary for their implementation. The Village of Sleepy Hollow is solely responsible for the purchase of any such software and must either purchase the software directly or approve Netsoft Solutions to purchase the software on their behalf. rd 3.4 WORK SCHEDULE Upon signing this contract both parties will decide on a mutually agreed start date for the work described. The Village of Sleepy Hollow staff is responsible for providing all necessary documents, photos, graphic files, and other required materials in a timely fashion to NetSoft Solutions, Inc. Any delay in forwarding the requested material will result in a delay to the scheduled completion date. SECTION 4. INDEMNIFICATION SECTION 5. ASSIGNMENT Village of Sleepy Hollow will indemnify and hold harmless NetSoft Solutions, Inc. from any indirect, incidental or consequential damages, or for loss of profits, revenue or data, whether in an action in contract, tort, product liability, statute or otherwise, even if advised of the possibility of those damages. To the extent permitted by law, NetSoft Solutions, Inc. will not be liable for any damages attributed to late delivery, product defect, or any other cause except as expressly agreed in writing. NetSoft Solutions, Inc. reserves the right to: (1) assign, re-assign and substitute its personnel with personnel with comparable qualifications at any time during the term of this Agreement; and (2) provide to other NetSoft Solutions customers services that are the same as or similar to the Services set forth in any Agreement hereunder. NetSoft Solutions, Inc. reserves the right to subcontract any or all of the Services or Products to third-parties and use independent consultants. Services supplied by such third parties shall be subject to the terms and conditions of this Agreement as if supplied directly by NetSoft Solutions. �SECTION 6. MISCELLANEOUS SECTION 7. SIGNOFF This Agreement constitutes the entire understanding of the parties and supersedes all other prior agreements with respect to this project. No oral representation or change to this Agreement shall be binding upon either party unless agreed to in writing. Neither party is liable for failing to fulfill its obligations due to acts of God, civil or military authority, war, riots, strikes, fire or other causes beyond its reasonable control. Waiver of any contract provision shall not be deemed a waiver of future enforcement of that or any other provision.
