Moved: Trustee Rosenbloom Seconded: Trustee Macfarlane Vote: 6-0 �Resolution of the Board of Trustees of the Village of Sleepy Hollow Authorizing Execution of Supplemental Agreement With the New York State Department of Transportation For the Broadway (Route 9) Streetscape Project WHEREAS, the Village of Sleepy Hollow was awarded $732,782 funding under Title 23 U.S. Code, as amended, by the New York State Department of Transportation under the Transportation Enhancements Program. The project, assigned PIN number 8780.27 and called Broadway (Route 9) Streetscape: Route 119 to Route 117 by the Department of Transportation, (the "Project") includes curbing, sidewalks, street trees, street lighting and signage on Broadway (Route 9) between Route 119 and Route 117; and WHEREAS, an Intermunicipal Agreement (II^IA) has been executed between the Villages of Tarrytown and Sleepy Hollow which calls for the sharing of certain costs, including the required match, on a pro rata basis; and WHEREAS, the funding under Title 23 U.S. Code, as amended, calls for the costs of the program to be borne at the ratio of 80% Federal funds and 20% non-federal funds, and the Village commits to pay 100% of the non-federal share of the cost of construction, construction inspection and construction supervision work for the Project or portions thereof, together with the Village of Tarrytown as specified in the IMA; and WHEREAS, $137,397 of the non-federal share of the cost of the Project has been allocated from State Marchiselli funds, leaving the Villages of Sleepy Hollow and Tarrytown with a required match of $45,799; and WHEREAS, Supplemental Agreement number 1 to D032283 has been prepared by the NYS Department of Transportation, amending the grant to cover only the construction, construction inspection and construction supervision phases of the project, and extending the contract end date to September 30, 2015; whereunder the Village of Sleepy Hollow is required to pay all construction, construction Inspection and construction supervision expenses up front and then apply to the Department of Transportation for reimbursement of the 80% Federal share, which will also trigger the reimbursement of the 15% Marchiselli share; and NOW, THEREFORE, BE IT RESOLVED that the Village of Sleepy Hollow hereby approves the above project; and recognizes that the Transportation Enhancement Program grant is a reimbursement grant requiring the Village of Sleepy Hollow to pay 100% of the federal and matching share of the cost of construction, construction inspection and construction supervision for the Project prior to submitting a request for reimbursement of 80% from the Department of Transportation, as appropriated from the �Village's capital budget under resolution number 11/139-C/2012 for bond resolution dated November 13, 2012; and BE IT FURTHER RESOLVED that in the event the full federal and non-federal share costs of the project exceed $915,978, the Board of Trustees of the Village of Sleepy Hollow shall convene as soon as possible to appropriate said excess amount upon notification by the Village of Sleepy Hollow thereof; and BE IT FURTHER RESOLVED that Kenneth Wray, the Mayor of the Village of Sleepy Hollow, is hereby authorized to execute this Supplemental Agreement with the New York State Department of Transportation, and all necessary Agreements, certifications or reimbursement requests for Federal Aid and/or applicable Marchiselli Aid on behalf of the Village of Sleepy Hollow with the New York State Department of Transportation in connection with the advancement, approval and administration of the Project; and BE IT FURTHER RESOLVED that, in addition to the Mayor, the following municipal titles: Village Administrator and Village Treasurer, are also hereby authorized to execute any necessary Agreements, certifications or reimbursement requests on behalf of the Village of Sleepy Hollow with the NYS Department of Transportation in connection with the advancement or approval of the Project; and BE IT FURTHER RESOLVED that a certified copy of this resolution be filed with the New York State Commissioner of Transportation by attaching it to any necessary Agreement in connection with the Project; and BE IT FURTHER RESOLVED that this resolution shall take effect immediately.
