General Retainer work as set forth below would be done under an annual retainer of $91,000.00; special project and litigation work requested by the Village as set forth below would be done at $225.00 per hour; and Land Use Applications work requested by the Village as set forth below would be covered by the annual retainer for the first 2 hours of work on an application and then charged at my usual, non-discounted hourly rate for the balance of work on that application. My engagement would be that of an independent contractor rather than a Village official, officer, or employee, and as an independent contractor, the Village would not be charged with any retirement contribution or medical or other benefits for me. General Retainer For general municipal services, I will provide advice and counseling on the full range of municipal issues that arise from time to time for the fixed annual charge of $91,000.00 paid in equal monthly installments billed prospectively the first of each month. Among other things, the retainer will continue to cover regular attendance at Village Board of Trustees meetings, consultation, advice, and opinions on questions presented by Village officials, review and preparation as necessary of Village Board resolutions and actions, preparation of routine legislation, coordination with other attorneys providing legal services to the Village and oversight of those attorneys as necessary, review and preparation for contracts in the ordinary course, and the like. {00608249.DOC.2} �Special Projects & Litigation For Special Projects and Litigation, on which the Village requests work, I will charge on a straight hourly basis at the rate of $225.00 per hour, and we will bill at the first of each month for work done the prior month. Litigation will consist of any matter that is commenced by a formal court or arbitration paper, such as a summons, complaint, petition for review, or notice of claim. In contrast, general advice on possible litigation prior to commencement of a proceeding or receipt of a notice of claim will fall under the general municipal retainer. Special projects will consist of major Village endeavors which are not typically done. The category would include matters like land acquisition, disposition, or development, broad-scale update or revision of the Village Code or Comprehensive Development Plan, development of complex legislation, and the like, but as set forth above, advice to officials, standard contract preparation and review, and drafting of more typical legislation would be general retainer work. Considering that some Special Project work may be tough to categorize in advance, we leave the final decision on what is or is not a Special Project up to the Village. Land Use Applications For any Land Use Application by or before the Board of Trustees, Planning Board, and Zoning Board of Appeals on which the Village requests work, the first 2 hours of work will be covered under the annual retainer, but thereafter I will charge for work on that application on a straight hourly basis at my standard, non-discounted attorney rate, which currently is $440.00 per hour. In each instance, too, we will bill at the first of each month for work done in the prior month. The Village has authority to require land use applicants to reimburse the Village's legal fees under New York State General Municipal Law §10, New York State Village Law §7-712 and §7-730, and Village Code §200-4 to the extent that the fees are reasonable and necessary and incurred in connection with the Village's inspection and review of the applicants' projects. Thus, advice to a Board and review of an applicant's documents and submissions for compliance with law or approval requirements will be reimbursable and billed at full rates. Conversely, advice to a Board on a question of Board or Village liability, unique voting requirements or procedures, or the like which may be requested in connection with a Board's review of a project but is not necessary for that review itself would not be reimbursable but would fall under our General Retainer work. Similarly, negotiation or preparation of documents to implement agreements or obligations assumed after approval and any enforcement or Article 78 review proceeding would not be part of the Village's inspection and review of a project, so that work would not be reimbursable but depending on the sort of work would fall into the General Retainer category and would not generate any additional charge or the Special Projects and Litigation category and would be charged at the reduced rate. {00608249.00C.2} �I hope the Trustees and you will find these terms satisfactory.
