                  <text>RESOLUTION AUTHORIZING PAYMENT OF FEES UNDER LICENSE
AGREEMENT WITH SLEEPY HOLLOW
LOCAL DEVELOPMENT CORPORATION
WHEREAS, the Village of Sleepy Hollow has a right to use property in the
Village commonly known as the East Parcel of the former General Motors property
("East Parcel") under a License Agreement with Sleepy Hollow Local Development
Corporation ("SHLDC") as owner of the East Parcel dated December 16, 2014 ("License
Agreement"); and
WHEREAS, the Village and SHLDC are investigating alternative uses and means
of access to the East Parcel; and
WHEREAS, the Village received a proposal from WSP USA Corp ("WSP") dated
August 24, 2015, for professional engineering services to produce 2D plans and
component information necessary for the development of demolition plans, details and
sequencing for demolition of the existing viaduct access to the East Parcel and provide
concept plans/profile/alignment of an extension to Continental Street for access to the
East Parcel ("Proposed Investigatory Work") for a cost of $19,880.00; and
WHEREAS, WSP already is providing professional engineering services with
respect to the Beekman Avenue Bridge and as such already has background data to be
used in the Proposed Investigatory Work, already is working in the area of the
Proposed Investigatory Work and with third parties with review and approval authority
over the Proposed Investigatory Work and further work that my flow from the
Proposed Investigatory Work, and is best positioned to perform the Proposed
Investigatory Work; and
WHEREAS, the Village and SHLDC want to have WSP perform the Proposed
Investigatory Work; and
WHEREAS, the agreement with WSP for the Proposed Investigatory Work
should be with SHLDC as owner of the East Parcel rather than with the Village; and
WHEREAS, SHLDC as owner of the East Parcel intends to accept the proposal
from WSP and enter into an agreement with WSP for the Proposed Investigatory Work;
and

�WHEREAS, under the License Agreement, the Village is to pay "all costs
incurred by the LDC in connection with the acquisition and ownership of the East parcel
[sic], including all fee, costs, taxes and charges as approved by the LDC from time to
time;"
NOW THEREFORE, BE IT RESOLVED, that the Village recognizes and agrees with
SHLDC's intent to accept the proposal from WSP and enter into an agreement with
WSP for the Proposed Investigatory Work; and
BE IT FURTHER RESOLVED, that the Village recognizes that payment for the
Proposed Investigatory Work will constitute costs incurred by SHLDC in connection with
the ownership of the East Parcel for which the Village is responsible to pay under the
License Agreement; and
BE IT FURTHER RESOLVED, that the Village agrees to pay on behalf of SHLDC
WSP's charges for the Proposed Investigatory Work as those charges become due.

�RESOLUTION OF THE BOARD OF TRUSTEES OF THE VILLAGE OF
SLEEPY HOLLOW APPROVING SETTLEMENT OF LAWSUIT
WHEREAS, the Village Police Department is named as defendant in Smith v. Sleepy
Hollow Police Department, Sleepy Hollow Village Court Docket No. 15020040
("Lawsuit"); and
WHEREAS, the Lawsuit is a small claims action for damage to property which seeks a
judgment against the Village for "$504.31 together with legal fees, costs of suit, interest
thereon, and any such further relief [the] Court deems just and proper;" and
WHEREAS, the Village Attorney and the Plaintiffs attorney in the Lawsuit have
reached an agreement to settle the Lawsuit upon the Village's payment of $200.00 and
exchange of General Releases; and
WHEREAS, Settlement of the Lawsuit without any admission of liability or responsibility
for the Plaintiff's property damage, will save the Village the vagaries and expense of a
trial; and
NOW, THEREFORE, BE IT RESOLVED, that the Board of Trustees approves the
Settlement of the Lawsuit; and
BE IT FURTHERRESOLVED, that the Board of Trustees authorizes and approves
payment of $200.00 in Settlement of the Lawsuit.

RESOLUTION OF THE BOARD OF TRUSTEES OF THE VILLAGE
OF SLEEPY HOLLOW
WATER SUPPLY IMPROVEMENT PROGRAM
ACCEPTANCE OF EASEMENTS
WHEREAS, the Village of Sleepy Hollow is a municipal corporation duly formed under
the laws of the State of New York, located in Westchester County, New York, and formerly
named the Village of North Tarrytown; and
WHEREAS, in or about 1926 or 1927, the Village established a municipal water
supply reservoir located in the Town of Mt. Pleasant, New York; and
WHEREAS, since the initial construction of the Village's reservoir, the Village has
experienced significant growth and development within the Village; and
WHEREAS, during the course of recent environmental reviews for various projects
located within the Village, the Westchester County Department of Health indicated that the
Village's water supply storage system was inadequate and needed to be expanded to meet
current Health Department standards; and
WHEREAS, beginning in the spring of 2002, the Village initiated a series of
engineering studies to evaluate the eventual size and supply requirements of the Village's
water supply system; and
WHEREAS, in connection with its water supply improvement program, which includes
construction of an expanded reservoir system, enhancements to the water transmission system
and upgrading the pump station, the Village considered 24 alternative locations for a new
reservoir; and
WHEREAS, the Village discussed with representatives of the National Trust for Historic
Preservation in the United States ("National Trust") and the Rockefeller Brothers Fund ("RBF")
the possibility of locating a new reservoir facility on National Trust/RBF property off of Lake
Road ("Lake Road Site"); and
WHEREAS, the Village caused to be prepared a conceptual site plan that met the
engineering requirements necessary to have a system that was compatible with the Village's
existing reservoir; and
WHEREAS, Village Board held a public hearing on July 9, 2013, and in July 2013 the
Village Board, after full and complete review of the alternatives examined, selected the Lake
Road Site as among the viable alternatives considered as part of the environmental review
process which will result in the greatest overall benefit to the community while minimizing
adverse impacts; and

�WHEREAS, the Village and the National Trust, the RBF, and their representatives
intend to enter into short and long term agreements to allow the Village to build and operate a
new reservoir facility on the Lake Road Site; and
NOW, THEREFOR, BE IT RESOLVED, that the Board of Trustees authorizes the Mayor to
accept and execute a Temporary Construction Easement agreement and a Long-Term Easement
agreement for, among other things, construction, operation, and maintenance of a new reservoir
facility at the Lake Road Site in the forms annexed to these Resolutions ("Easement
Agreements"); and
BE IT FURTHER RESOLVED, that the Mayor is authorized to make and accept
amendments and revisions to either or both of the Easement Agreements as attached so long as
the same are not material and adverse to the Village's interests and are acceptable in form and
substance to the Village Attorney; and
BE IT FURTHER RESOLVED that the Mayor and Village staff are authorized and directed
to take any and all such steps as are necessary to effectuate the intent of these Resolutions.

�Resolution of the Board of Trustees of the Village of
Sleepy Hollow Appointing Part-time Assistant Building Inspector
Whereas, the Village's Building Inspector has recommended the hiring of a
Part-time Assistant Building Inspector, and
Whereas, on April 28, 2015 the Board of Trustees adopted the 2015-2016
budget and authorized this recommendation,
Now, therefore, be it resolved, the Board of Trustees hereby confirms the
Mayor's appointment and the Building Inspector's recommendation of
Robert P. Bischof to the position of Assistant Building Inspector, effective
September 16, 2015 at an hourly salary of $43.00, not to exceed 17.5 hours per
week, and all other terms and conditions of employment should apply.
Be it further resolved said appointment is subject to the approval of the
Westchester County Department of Human Resources and a probationary period
of twelve to fifty two weeks.

Authorizing Increase in Salary for Village Assessor
Whereas, Village Assessor, Fred Gross, has been the sole Assessor for the Village
since 2009, and
Whereas, the Board of Trustees believes it would be fair and equitable to adjust
Fred Gross's salary to be commensurate with his increased job duties; and
Whereas, on April 28, 2015 the Board of Trustees adopted the 2015-2016 budget and
authorized this adjustment,
Now, Therefore, Be It Resolved the Board of Trustees hereby adjusts the annual
base salary of Fred Gross, Village Assessor, to $39,000.00 as of June 1st, 2015.

WHEREAS, the Village and the property owner have reached a mutually
agreeable resolution for the aforementioned pending proceedings filed under
Index No 56260/13
WHEREAS, it has been recommended to the Board of Trustees by its Assessor
and Attorney to resolve this litigation;
