�Resolution of the Board of Trustees of the Village of Sleepy Hollow Adopting
Revised Fees for the Department of Architecture, Land Use Development,
Buildings and Building Compliance
WHEREAS, the Village of Sleepy Hollow is authorized to establish by resolution fees for
permits and related services charged by the Department of Architecture, Land Use
Development, Buildings and Building Compliance ("the Department"), and
WHEREAS, the Department has reviewed its current schedule of fees for permits and
services and has compared those fees to the prevailing charges in similar communities
in Westchester County, and
WHEREAS, the Department believes that an adjustment in certain fees is both
reasonable and necessary for its efficient operation, and
WHEREAS, on January 5, 2016 the Board of Trustees reviewed these requested fees
and is in agreement with the conclusions and recommendations of the Department;
NOW, THEREFORE BE IT RESOLVED that Chapter 200 "Fees" of the Code of the
Village of Sleepy Hollow is amended in accordance with the attached Fee Schedule.

�AMENDATORY BOND RESOLUTION, DATED JANUARY 12, 2016,
AMENDING A BOND RESOLUTION, DATED OCTOBER 22, 2013,
AUTHORIZING THE ISSUANCE OF UP TO $5,264,557 AGGREGATE
PRINCIPAL AMOUNT SERIAL BONDS OF THE VILLAGE OF SLEEPY
HOLLOW, COUNTY OF WESTCHESTER, STATE OF NEW YORK,
PURSUANT TO THE LOCAL FINANCE LAW, TO FINANCE THE COSTS
OF THE ACQUISITION, CONSTRUCTION AND RECONSTRUCTION OF
WATER IMPROVEMENTS IN AND FOR THE VILLAGE.
WHEREAS, the Board of Trustees of the Village of Sleepy Hollow (the "Village"), located
in the County of Westchester, in the State of New York (the "State"), determined that it is in the
public interest of the Village to authorize the financing of the costs of the acquisition, construction
and reconstruction of water improvements in and for the Village (the "Water Project"), at a total
cost not to exceed $5,264,557, pursuant to a serial bond resolution adopted by the Board of Trustees
of the Village on October 22, 2013 (the "Original Resolution"), a true copy of which is attached
hereto, authorizing serial bonds of the Village with a maturity of only five (5) years tofinancesame,
all in accordance with the Local Finance Law; and
WHEREAS, the maximum estimated cost and amount of bonds to be issued needs to be
increased by $1,563,158 to pay the increased costs of the Water Project; and
WHEREAS, the Board of Trustees of the Village also desires to issue such serial bonds for
the maturity and period of probable usefulness permitted by law, and accordingly, desires to amend
the Original Resolution by submitting it to a permissive referendum in the manner prescribed by
law;
NOW, THEREFORE, BE IT RESOLVED by the Board of Trustees of the Village of
Sleepy Hollow, County of Westchester, State of New York, as follows:

�Section 1.

The maximum estimated cost of the Water Project is now revised to

$6,827,715 and the plan of finance therefor shall be by the issuance of $6,827,715 serial bonds, or
bond anticipation notes in anticipation thereof, of the Village, hereby authorized to be issued
therefor pursuant to the provisions of the Local Finance Law.
Section 2. Paragraph (h) of Section 2 of the Original Resolution is hereby amended to
read as follows:
"(h) The acquisition, construction and reconstruction of water improvements for the
Village, including any equipment, machinery, apparatus, land or rights-in-land necessary therefor
and any preliminary and incidental costs related thereto, at an estimated maximum cost of
$6,827,715, for which $6,827,715 principal amount of serial bonds, or bond anticipation notes
issued in anticipation of such serial bonds, are authorized herein and appropriated therefore,
having a period of probable usefulness of forty (40) years pursuant to subdivision 1 of paragraph
a of Section 11.00 of the Local Finance Law. Such serial bonds shall have a maximum maturity
of forty (40) years computed from the earlier of (a) the date of the first issue of such serial bonds
or (b) the date of the first issue of bond anticipation notes issued in anticipation of the issuance of
such serial bonds; and"
Section 3. Section 3 of the Original Resolution is hereby amended to read as follows:
"Section 3. The Board of Trustees of the Village has ascertained and hereby states that
(a) the estimated maximum cost of the Project is $7,300,222; (b) except as set forth on the
financial records of the Village Treasurer, no money has heretofore been authorized to be applied
to the payment of the costs of the Project; (c) the Board of Trustees of the Village plans to
finance the costs of the Project from (i) the proceeds of the serial bonds authorized herein, or
bond anticipation notes issued in anticipation of such serial bonds, and (ii) certain Federal grants;

�(d) the maturity of the obligations authorized herein may be in excess of five (5) years; (e) the
amount authorized to be applied to such objects or purposes from the proceeds of the obligations
authorized herein shall be reduced pro tanto by the amount of Federal aid received by the Village
for such objects or purposes; and (f) on or before the expenditure of moneys to pay for any costs
of an item within an object or purpose, or class of object or purpose, for which proceeds of such
obligations are to be applied to reimburse the Village, the Board of Trustees of the Village took
"official action" for federal income tax purposes to authorize capital financing of such item."
Section 4. Section 10 of the Original Resolution for the purpose referred to in paragraph
(h) of Section 2 of the Original Resolution is hereby amended to provide that the effectiveness of
such bond resolution with respect to any obligations authorized therein in excess of five (5) years is
subject to a permissive referendum and will take effect upon the expiration of the period prescribed
in the Village Law during which petitions for a permissive referendum may be submitted and filed
with the Village Clerk.
Section 5. Sections 1,2(a) through (g) and (i) and 4 through 9, inclusive, of the Original
Resolution are hereby ratified, approved and confirmed as being not affected by this amendatory
bond resolution, but otherwise as amended, and as being in full force and effect from and after
October 22,2013, the terms of which are incorporated herein by reference and made applicable
hereto except as aforesaid. For purposes of section 81.00 of the Local Finance Law, the Board of
Trustees of the Village deems this amendatory bond resolution to be a sufficient summary of said
bond resolution which may be inspected during regular business hours at the office of the Village
Clerk, 28 Beekman Avenue, Sleepy Hollow, New York 10591 for a period of twenty days from
the date of this publication.

Authorizing Retainer Agreement
Whereas, the Sleepy Hollow Ambulance Corps has requested the Board of Trustees
hire personnel to complete paperwork mandated by NYS for quality assurance/quality
improvement and to file paperwork for revenue recovery, and
Now Therefore Be It Resolved, the Board of Trustees hereby authorizes the Mayor
to enter into a consulting retainer with Elliot Sotomayor to perform the aforementioned
tasks, and
Be It Further Resolved that Mr. Sotomayor shall be paid the sum of four hundred
dollars, ($400) per month pursuant to a retainer agreement drafted by the village
counsel effective upon mutual execution of the retainer, and
Be It Further Resolved that Mr. Sotomayor shall be an independent consultant, not a
part-time employee.

THE VILLAGE OF SLEEPY HOLLOW, NEW YORK
AND
ELLIOT SOTTOMAYOR
This Agreement, is made and entered into June 01 2015, by and between the Village of Sleepy
Hollow, a Municipal Corporation of the State of New York having an office and principal place of
business at 28 Beekman Avenue, Sleepy Hollow, New York (hereinafter referred to as the
"Village") and Elliot Sotomayor, residing at 1620 Crescent Drive, Tarrytown NY 10591
(hereinafter referred to as the "Contractor")
Whereas, the Village is desirous to contract for services to be provided to and on behalf of the
Sleepy Hollow Ambulance Corps including but not limited to bookkeeping, third party billing,
preparing and filing the necessary documentation to New York State and any other authority
overseeing the Ambulance Corps functions, etc; and
Whereas, the Chief of the Ambulance Corp has recommended the Contractor and has
represented that he is qualified to provide the aforementioned services to the Village.
Now, therefore, in consideration of the terms and conditions contained herein, the parties
agree as follows:
1. Village's Responsibilities
(A) The Village shall pay to the contractor the sum of FOUR HUNDRED ($400.00)
DOLLARS per month for the aforementioned services, commencing upon the execution
of this Agreement by both parties. If the Contractor has performed work at the request of
the Village prior to the execution of this Agreement, the Village agrees to pay the
Contractor for the work performed on a monthly pro-rated basis, upon the submission of
an invoice by the Contractor.
(B) The Village shall provide to the Contractor full access to all documents, books, filings, and
other records to facilitate the work to be done by the Contractor.
(C)The Village represents that it has been authorized by its governing body to enter into this
Agreement.
2. Contractor's Responsibilities
(A) The Contractor shall report directly to the Chief of the Sleepy Hollow Ambulance Corp.
(B)The Contractor shall maintain all books and records in compliance with the requirements f
all New York State and Federal regulatory agencies governing same.
(C) It is the responsibility of the Contractor to have this Agreement reviewed and approved by
Legal Counsel of her choosing prior to the execution of this Agreement, if she so desires.
3. Term
This Agreement may be terminated at any time by mutual agreement of the parties or upon
thirty (30) days written notice by one party to the other party.

�4. Assignment &amp; Subcontracting
Any purported delegation of duties or assignment of rights under this Agreement without
prior express written consent of the Village is void. The Contractor shall not subcontract any
part of its work or duties under this Agreement without written consent of the Village.
5. Compliance with the Law
In executing their respective responsibilities under this Agreement, the Village and the
Contractor shall comply with all applicable Federal, State and Local Laws, rules and
regulations.
6. Notices
All notices of any nature referred to in this Agreement shall be in writing and sent by
registered or certified mail postage pre-paid, to the respective addresses set forth below or to
such other addresses as the respective parties hereto may designate in writing:

This Agreement constitutes the entire Agreement between the parties with respect to the
subject matter hereof and shall supersede all previous negations, commitments and writings.
It shall not be released, discharged, changed or modified except by an instrument in writing
signed by a duly authorized representative of each of the parties.
9. Governing Law
This Agreement shall be construed end enforced in accordance with the Laws of the State of
New York.
