Resolution of the Board of Trustees of the Village of Sleepy Hollow
Authorizing the Execution of a Maintenance Agreement
for the Beekman Avenue Bridge
WHEREAS, the Beekman Avenue bridge over the Metro-North tracks f Bridge") is
currently undergoing a rebuilding; and
WHEREAS, l^etro-North Commuter Railroad Company, a public benefit subsidiary
corporation of Metropolitan Transportation Authority C'Metro-North'O/ has jurisdiction
over the Bridge; and
WHEREAS, Metro-North provided the Village of Sleepy Hollow ("Village") with a draft
Bridge Maintenance Agreement for the Bridge which outlines the extent of Metro-North
and the Village's ownership and responsibility for the Bridge; and
WHEREAS, the Village Attorney and Metro-North's Attorney have negotiated the Bridge
Maintenance Agreement; and
NOWTHEREFORE,
BE IT WHEREAS, the Village wishes to enter into the Agreement;
RESOLVED that the Board of Trustees authorizes the Mayor to execute the Bridge
Maintenance Agreement (draft 4/9/18), such agreement to be acceptable in form and
substance to Village Attorney; and be it further
RESOLVED, that the Mayor and/or the Village Administrator is authorized to make and
accept amendments and revisions to the Bridge Maintenance Agreement so long as the
same either are not material or are not contrary to the Village's interests or
responsibilities and in either case are acceptable in form and substance to the Village
Attorney.
