As requested, we are providing a proposal to identify the work required to replace the deteriorating culvert along with preliminary costs. The items shown are the preliminary work items necessary to develop the design tasks which will enable us to more accurately estimate both engineering and construction costs. The proposed work will be comprised of the following: • Obtain bids to video the collapsing pipe with analysis and recommendation. • Once the extent of the failing pipe is ascertained, obtain a minimum of 3 surveyors to survey the proposed project. • Conduct a drainage study to insure the pipe is appropriately sized pursuant to New York State Department of Transportation (NYSDOT) requirements • Design pipe improvements and appurtenances as required and obtain permits as required. • Design Stormwater Pollution Prevention Plans as required. • Publicly bid the project pursuant to Village of Sleepy Hollow requirements. • Provide construction administration services as required by the Village and NYSDOT. �Anthony Giaccio Route 9 Culvert Replacement 2019 July 18,2019 Page 2 The first two bullet points will be billed on an hourly basis. I anticipate that this amount of work will add up to 10 to 20 hours and will use the attached salary schedule to determine fees Once we have a survey and know the extent of the collapsed pipe and how much we need to replace or remediate, I will prepare a proposal for the remaining four items. Typically the cost o f foe design of construction projects range from about 5% to 10% of the construction amount depending on project complexity. The County will reimburse the Municipality for the actual number o f round trips. All municipalities, where possible, shall hold prisoners for one daily trip to the Department o f Correction. 2. R E I M B U R S E M E N T : The Municipality shall be reimbursed by the County for prisoner transportation services at the rate plus mileage per round trip indicated in the Zone Rate Plan attached hereto as Appendix " A " and made a part hereof. The rate will be paid as follows: For transportation to County Jail subsequent to arrest - 1 round trip plus mileage; For Transportation from County Jail to local court; no return - 1 round trip plus mileage; For Transportation from County Jail to local court; remand to County Jail, where the time expended does not exceed three (3) hours - 2 round trips plus mileage; Only in the following circumstances will an hourly rate and mileage fee be paid, as an alternative to the zone rate set forth above: a. Transportation of female prisoners (1 officer and 1 matron). A minimum of four (4) hours will be reimbursed for a matron; or b. Transportation o f seven (7) or more prisoners (requiring an additional officer); or c. Transportation o f prisoners charged with Class A felonies OR classified by Department o f Correction as an " A " or " A A " prisoner considered to present danger may warrant (requiring an additional officer); or d. Transportation from County Jail to local court and remand to County Jail where time expended exceeds three (3) hours. In the event that any one o f conditions " a " through " d " above are met, then the actual per hour personnel costs incurred by the Municipality will be paid at the hourly wage 2 �exceed $1,374,161. This Agreement shall be deemed executory only to the extent of the monies appropriated and available for the purpose of this Agreement and no liability on account hereof shall be incurred by the County beyond the amount of such monies. 6. I N S U R A N C E A N D I N D E M N I F I C A T I O N . All personnel and vehicles engaged in prisoner transportation duties shall at all times remain and be deemed the employees and property of the Municipality. In addition to, and not in limitation of the insurance provisions contained in Schedule " B " of this Agreement, the Municipality agrees to indemnify, defend and hold the County, its officers, employees and agents harmless from and against any and all liability, loss, damage or expense the County may suffer as a result of any and all claims, demands, causes of action or judgments arising directly or indirectly out of the transportation of prisoners for which reimbursement is sought hereunder for losses arising out of the negligent acts or omissions of the Municipality, its agents or employees. 7. E N T I R E A G R E E M E N T : This Agreement constitutes the entire and integrated agreement between and among the parties hereto and supersedes any and all prior negotiations, agreements and conditions, whether written or oral. A n y modification or amendment to this Agreement shall be void unless it is in writing and subscribed by the party to be charged. 8. A P P L I C A B L E L A W : This Agreement shall be construed and enforced in accordance with the laws of the State of New York. 9. A P P R O V A L S : This Agreement is subject to the approval of the Westchester County Board of Legislators, the Westchester County Board of Acquisition and Contract and the governing legislative body of the Municipality 4 �(a) Insurers shall have no right to recovery or subrogation against the County (including its employees and other agents and agencies), it being the intention of the parties that the insurance policies so effected shall protect both parties and be primary coverage for any and all losses covered by the above-described insurance. (b) The clause "other insurance provisions" in a policy in which the County is named as an insured, shall not apply to the County. (c) The insurance companies issuing the policy or policies shall have no recourse against the County (including its agents and agencies as aforesaid) for payment of any premiums or for assessments under any form of policy. (d) Any and all deductibles in the above described insurance policies shall be assumed by and be for the account of, and at the sole risk of, the Municipality. -3- �SCHEDULE"B" S T A N D A R D I N S U R A N C E PROVISIONS (MUNICIPALITY) 1. Prior to commencing work, and throughout the term o f the Agreement, the Municipality shall obtain at its own cost and expense the required insurance as delineated below from insurance companies licensed in the State o f New York, carrying a Best's financial rating o f A or better. Municipality shall provide evidence of such insurance to the County o f Westchester ("County"), either by providing a copy o f policies and/or certificates as may be required and approved by the Director o f Risk Management of the County ("Director"). The policies or certificates thereof shall provide that ten (10) days prior to cancellation or material change in the policy, notices o f same shall be given to the Director either by overnight mail or personal delivery for all of the following stated insurance policies. All notices shall name the Municipality and identify the Agreement. If at any time any o f the policies required herein shall be or become unsatisfactory to the Director, as to form or substance, or if a company issuing any such policy shall be or become unsatisfactory to the Director, the Municipality shall upon notice to that effect from the County, promptly obtain a new policy, and submit the policy or the certificate as requested by the Director to the Office o f Risk Management o f the County for approval by the Director. Upon failure of the Municipality to furnish, deliver and maintain such insurance, the Agreement, at the election of the County, may be declared suspended, discontinued or terminated. Failure of the Municipality to take out, maintain, or the taking out or maintenance of any required insurance, shall not relieve the Municipality from any liability under the Agreement, nor shall the insurance requirements be construed to conflict with or otherwise limit the contractual obligations o f the Municipality concerning indemnification. All property losses shall be made payable to the "County o f Westchester" and adjusted with the appropriate County personnel. In the event that claims, for which the County may be liable, in excess o f the insured amounts provided herein are filed by reason o f Municipality's negligent acts or omissions under the Agreement or by virtue of the provisions of the labor law or other statute or any other reason, the amount of excess o f such claims or any portion thereof, may be withheld from payment due or to become due the Municipality until such time as the Municipality shall furnish such additional security covering such claims in form satisfactory to the Director. In the event of any loss, if the Municipality maintains broader coverage and/or higher limits than the minimums identified herein, the County shall be entitled to the broader coverage and/or higher limits maintained by the Municipality. Having been the engineers for the Village, we are familiar with the needs and will continue to provide the same type of services we have been doing for Sleepy Hollow for the past sixteen years. The following is the scope of services to be provided. I. CAPITAL PROJECTS Prepare engineering reports and research products relative to the specific Capital Project being contemplated; prepare plans, specifications and bid documents for the construction of the project. Preparation of plans will be in accordance with applicable local, state and federal codes and standards, as well as our best effort and generally accepted engineering practice and principles. In the performance of our work, we will coordinate all activities with you, other Village officials and personnel as appropriate; present our work product to permitting agencies for review and assist in the preparation of applications for approval of plans for the project. GENERAL ENGINEERING The review of plans for compliance with the standards, rules and regulations of the Village of Sieepy Hollow and other regulatory agencies, as related to realty subdivisions and site development for projects submitted to the Building Inspector, the Planning Board or the Board of Trustees. Provide services as requested for review of other engineering related items that need input for your office, the Department of Public Works, Building Department and any of the Village Boards or Commissions. Preparation of reports and design where engineering is needed for correction of infrastructure and related problems, or other non-capital or non-public bid projects to be undertaken by the Village Department of Public Works. Provide personnel on an "as needed" basis to assist the Village in conducting inspections of private work being done under Village permit, also in the evaluation and inspection of work undertaken or contracted by the Village, including activities such as video inspections, sliplining and point repairs of sewer and drain lines; roadway repairs and paving; and in resolving residents' concerns on engineering-related matters or problems. In response to requests from the Village, we will conduct studies and investigations on any variety of engineering related subjects some of which the following are typical examples. Budget estimates will be prepared for the assigned task whenever possible. • • • • III. Applications for grants. General inventory of infrastructure conditions. Responses to complaints received by the Village and referred to us on infrastructure malfunctions or engineering type problems. Engineering reports and planning studies for capital and non-capital projects. ADDITIONAL SERVICES The engineering services outlined above do not include services in the following categories of work and which are not included in the lump sum fee. Engineers, Inc. • Services resulting from significant changes in the project or major changes in documentation, plans and specifications, previously accepted by the Village where changes are due to causes beyond ENGINEER'S control. • Services in connection to staking out the proposed work. • Services in connection with design of subsurface support pilings, or special foundations for utility lines or structures. • Services in connection with preparation of construction plans and specifications for electrical, HVAC, mechanical and plumbing work. • Services to obtain core borings, probing and subsurface explorations, soil, stream, water or air sampling, laboratory tests and inspections of samples, materials, equipment and analysis of all such samples; property, topographic, easement and right-of-way surveys; property descriptions; costs for printing of plans, specifications and bid documents during the design process. • Preparation of Draft or Final Environmental Impact Statement or Assessment. • Preparation to serve or serving as a witness in any legal or administrative proceeding. • Reproduction and printing of plans and specifications. CONSTRUCTION ADMINISTRATION AND INSPECTION Provide services as requested for inspection of construction work being done under contract for the Village, those being done and to be dedicated to the Village, and construction projects by developers in order to determine compliance with approved plans. During construction, a resident Project Representative will be furnished on-site, full-time and will observe performance of the work of the Contractor (s). �Village of Sleepy Hollow Re: Professional Engineering Services June 12,2019 Page 5 Engineers, Inc. Through on-site observations of the work in progress and field checks of materials and equipment, the Resident Project Representative shall endeavor to provide protection for the Village against defects and deficiencies in the Work of Contractor (s); but the furnishing of such resident project representation will not make us responsible for construction means, methods, techniques, sequences or procedures or for safety precautions or programs, or for Contractor (s) failure to perform their work in accordance with the Contract Documents. On the basis of on-site observations, we shall keep you and your staff informed of the progress of the work, shall endeavor to guard the Village against defects and deficiencies in such work and may disapprove or reject work failing to conform to the Contract Documents. Review and approve, or take other appropriate action in respect of shop drawings and samples, the results of tests and inspections and other data which each Contractor is required to submit, but only for conformance with the design concept, of the Project and compliance with the information given in the contract documents. Such review and approval or other action shall not extend to means, methods, sequences, techniques, or procedures of construction or to safety precautions and programs incident thereto; determine the acceptability of substitute materials and equipment proposed by Contractor. We shall not be responsible for the actions or omissions of any Contractor, Subcontractor, or any of the Contractor's or Sub-contractor's agents or employees or any other persons (except our own employees and agents) at the site or otherwise performing any of the Contractor's work. Review and certify all contractor invoices for completion and payment by the Village. Review and negotiate proposed change orders with the Contractor and recommend a course of action to the Village, including payment or non-payment of these requests. Conduct a final inspection to determine if the work has been completed in accordance with the Contract Documents and if the Contractor (s) has fulfilled all of his obligations thereunder so that we may give written notice to you and the Contractor (s) that the work is acceptable, subject to any conditions therein expressed, but any such recommendation and notice shall be subject to the limitations expressed above, or where the work is not acceptable. �Village of Sleepy Hollow Re: Professional Engineering Services June 12,2019 Page & Engineers, Inc. We shall not be responsible for the actions or omissions of any Contractor, SubContractor, or any of the Contractor's or Sub- Contractor's agents or employees or any other persons, except our own employees and agents, at the site or otherwise performing any of the Contractor's work. V. VILLAGE'S RESPONSIBILTIES VILLAGE shall provide all criteria, site plan, property survey and full information as to requirements for the project; designate a person to act with authority on VILLAGE'S behalf in respect of all aspects of the Project; examine and respond promptly to ENGINEER'S submissions; and give prompt notice to ENGINEER whenever he observed or otherwise becomes aware of any defect in the work. VILLAGE shall do the following and pay all costs incident thereto: • Furnish to Engineer, or at Village's option, pay Engineer to obtain at their cost: laboratory tests and inspections of samples, materials, equipment and similar data and analysis of all such samples; property, easement and right-of-way surveys; property descriptions; all of which Engineer may rely upon in performing his services. • Guarantee access to and make all provisions for Engineer to enter upon public and private property. • Provide such legal, accounting and insurance counseling services as may be required for the Project. Village shall pay all costs for printing of plans, specifications and bid documents during the design process and project bid phase. VI. MISCELLANEOUS Reuse of Documents All documents including Drawings and Specifications prepared by Engineer pursuant to this Agreement, are instruments of service in respect of the Project. They are not �Village of Sleepy Hollow Re: Profeulonol Engineering Services June 12,2019 Page 7 Engineers, Inc. intended or represented to be suitable for reuse by Village or others on extensions of the Project or on any other project. Any reuse without written verification or adaptation by Engineer for the specific purposes intended will be at Village's sole risk and without liability or legal exposure to Engineer; and Village shall indemnify and hold harmless Engineer from attorneys' fees arising out of or resulting therefrom. Any such verification of adaptation will entitle Engineer to further compensation at rates to be agreed upon by Village and Engineer. Opinions of Cost Since Engineer has no control over the cost of labor, materials, equipment or services furnished by others, or over the Contractor(s); methods of determining prices, or over competitive bidding or market conditions, his opinions of probable Project Cost and construction Cost provided for herein are to be made on the basis of his experience and qualifications and represent his best judgment as an experienced and qualified professional engineer, familiar with the construction industry; but Engineer cannot and does not guarantee that proposals, bids or actual Project or Construction Cost will not vary from opinions of probable cost prepared by him. Successors and Assigns Village and Engineer each binds himself and his partners, successors, executors, administrators, assigns and legal representatives to the other part of this Agreement and to the partners, successors, executors, administrators, assigns and legal representatives of such other party, in respect to all covenants, agreements and obligations of this Agreement. Neither Village nor Engineer shall assign, sublet or transfer any rights under or interest in (including, but without limitation, moneys that may become due or monies that are due), this Agreement without the written consent of the other, except as stated in Paragraph 4.3.1 and except to the extent that the effect of this limitation may be restricted by law. Unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under this Agreement. Nothing contained in this paragraph shall prevent Engineer from employing such independent consultants, associates and subcontractors as he may deem appropriate to assist him in the �Village of Sleepy Hollow Re: Professional Engineering Services June 12, 2019 PageS A I Engineers, Inc performance of services hereunder. Nothing herein shall be construed to give any rights or benefits hereunder to anyone other than Village and Engineer. The Engineer's services shall be performed in a manner consistent with that degree of skill and care ordinarily exercised by practicing design professionals performing similar services in the same locality, at the same site and under the same or similar circumstances and conditions. The Engineer makes no other representations or warranties, whether expressed or implied, with respect to the services rendered hereunder. Payment The Village shall pay the Engineer for preparation of the work described and performed. For Item I. the Engineer may submit monthly payment requisitions based on the percentage of work completed and the estimated construction cost. The Village shall pay all invoices within thirty days of receipt. Our firm is covered by Professional Liability (errors and omission), General Liability, Workman's Compensation and Disability Insurances, and will provide the Village with related certificates.
