Resolution of the Board of Trustees of the Village of Sleepy Hollow
Appointing Full-Time Community Liaison
Whereas, the Village Board is desirous of hiring a full-time Community Liaison to
provide community outreach to the Hispanic population in Sleepy Hollow, and
Whereas, the Board of Trustees of the Village of Sleepy Hollow is desirous of hiring
Diana Loja, who currently works part-time as the community liaison, and has been a
great asset to the Village.
Now Therefore be It Resolved, the Board of Trustees approve the Mayor's
provisional appointment of Diana Loja of Tarrytown, NY, to the position of Full-Time
Community Liaison, at an annual rate of $65,000.00, effective January 13, 2020, and
the following terms and conditions of employment shall apply:
1. Work Hours: Ms. Loja will work 35 hours per week, Comp time scheduled
with the Administrator's prior approval.

- Vacation and other times: Ms. Loja will receive 15 vacation days each year,
prorated for any partial years of service. Ms. Loja will receive 4 personal days per year
and 12 sick days per year.
3. All other terms and conditions of employment will be as per the Village's
current personnel manual and other policies and procedures, unless and until
subsequently altered by Board resolution, and
Be It Further Resolved this position is subjected to the approval of the Westchester
County Department of Human Resources and a probationary period of twelve to fifty
two weeks will take effect as of January 13, 2020.

Service lists from the Westchester County Department of Human Resources
effective December 18, 2019.

Resolution of the Board of Trustees of the Village of Sleepy Hollow
Authorizing Retainer Agreement
Whereas, the Sleepy Hollow Ambulance Corps has requested the Board of Trustees
hire personnel to complete paperwork mandated by NYS for quality assurance/quality
improvement and to file paperwork for revenue recovery, and
Whereas, the Board of Trustees hereby authorizes the Mayor to enter into a consulting
retainer with Melissa Ojito to perform the aforementioned tasks, and
Be It Resolved that Ms. Ojito shall be paid the sum of $400.00 per month pursuant to
a retainer agreement, attached, effective upon mutual execution of the retainer, and
Be It Further Resolved that Ms. Ojito shall be an independent consultant, not a
Village employee, and
Be It Further Resolved that the Mayor and/or the Village Administrator is authorized
to make and accept amendments and revisions to the attached retainer agreement so
long as the same either are not material or are not contrary to the Village's interest or
responsibilities and in either case are acceptable in form and substance to Village
Counsel.

�AGREEMENT FOR CONSULTING BETWEEN
THE VILLAGE OF SLEEPY HOLLOW, NEW YORK
AND
Melissa Ojito
Dated September 1, 2019
This Agreement, is made and entered into, by and between the Village of Sleepy Hollow, a
Municipal Corporation of the State of New York having an office and principal place of
business at 28 Beekman Avenue, Sleepy Hollow, New York (hereinafter referred to as the
"Village") and Melissa Ojito, of Sleepy Hollow, New York (hereinafter referred to as the
"Contractor")
Whereas, the Village is desirous to contract for services to be provided to and on behalf of
the Sleepy Hollow Ambulance Corps including but not limited to bookkeeping, third party
billing, preparing and filing the necessary documentation to New York State and any other
authority overseeing the Ambulance Corps functions, etc; and
Whereas, the Captain of the Ambulance Corp has recommended the Contractor and has
represented that he is qualified to provide the aforementioned services to the Village.
Now, therefore, in consideration of the terms and conditions contained herein, the parties
agree as follows:
1. Village's Responsibilities
(A) The Village shall pay to the contractor the sum of FOUR HUNDRED ($400.00)
DOLLARS per month for the aforementioned services, commencing upon the
execution of this Agreement by both parties. If the Contractor has performed work
at the request of the Village prior to the execution of this Agreement, the Village
agrees to pay the Contractor for the work performed on a monthly pro-rated basis,
upon the submission of an invoice by the Contractor.
(B) The Village shall provide to the Contractor full access to all documents, books,
filings, and other records to facilitate the work to be done by the Contractor.
(C) The Village represents that it has been authorized by its governing body to enter
into this Agreement.
2. Contractor's Responsibilities
(A) The Contractor shall report directly to the Captain of the Sleepy Hollow Ambulance
Corp.
(B)The Contractor shall maintain all books and records in compliance with the
requirements for all New York State and Federal regulatory agencies governing
same.
(C) It is the responsibility of the Contractor to have this Agreement reviewed and
approved by Legal Counsel of her choosing prior to the execution of this Agreement,
if he so desires.

�3. Term
This Agreement may be terminated at any time by mutual agreement of the parties or
upon thirty (30) days written notice by one party to the other party.
4. Assignment &amp; Suhcontrart-ing
Any purported delegation of duties or assignment of rights under this Agreement
without prior express written consent of the Village is void. The Contractor shall not
subcontract any part of its work or duties under this Agreement without written consent
of the Village.
5. Compliance with the Law
In executing their respective responsibilities under this Agreement, the Village and the
Contractor shall comply with all applicable Federal, State and Local Laws, rules and
regulations.
6. Notices
All notices of any nature referred to in this Agreement shall be in writing and sent by
registered or certified mail postage pre-paid, to the respective addresses set forth below
or to such other addresses as the respective parties hereto may designate in writing:

- No Co-Partnership. Agency or Employment
Nothing herein contained shall be construed to create a co-partnership or employment
relationship between the Village and the Contractor or to constitute either party as the
agent of the other.
8. Entire Agreement
This Agreement constitutes the entire Agreement between the parties with respect to
the subject matter hereof and shall supersede all previous negations, commitments and
writings. It shall not be released, discharged, changed or modified except by an
instrument in writing signed by a duly authorized representative of each of the parties.
9. Governing Law
This Agreement shall be construed end enforced in accordance with the Laws of the
State of New York.

Resolution of the Board of the Village of Sleepy Hollow on
Application for Refund or Credit of Real Property Taxes and for
Tax Credit for 228 North Washington Street
WHEREAS, 228 North Washington Street ("Premises") is owned by Brooklyn
Global ("Owner"); and
WHEREAS, the 2018 assessment of the Premises was $86,265 which equates to
a market value of $400,000; and
WHEREAS, the Village's Assessor agreed to reduce the assessed value to
$300,000 for 2019 and will review the progress of Owner's improvements to the
Premises for the 2020 assessment roll; and
WHEREAS, the difference in assessed value of $100,000 equates to a reduction n
taxes of $1,879; and
WHEREAS, the Owner and Village Assessor have made an Application for
Refund or Credit of Real Property Taxes to fix the taxes at the Premises at $21,500 and
to credit the Premises with $1,879.00; and
NOW THEREFORE, BE IT RESOLVED that the Application for Refund or Credit
of Real Property Taxes as attached is accepted on the basis of an adjustment to the
assessed value of the Premises; and be it further
RESOLVED, that the Village tax assessment for 228 North Washington Street
shall be and is fixed in accordance with the Application for Refund or Credit of Real
Property Taxes as attached; and be it further
RESOLVED, that any of the Village Mayor, Village Administrator, and Village
Assessor is authorized to make and accept amendments and revisions to the Application
for Refund or Credit of Real Estate Taxes so long as the same either are not material or
are not contrary to the Village's interest or responsibilities and in either case are
acceptable in form and substance to Village Counsel.

Resolution of the Board of the Village of Sleepy Hollow on
Application for Refund or Credit of Real Property Taxes and for
Tax Credit for 16 Kingsland Road
WHEREAS, 16 Kingsland Road ("Premises") is owned by Samuel Gonzalez
("Owner"); and
WHEREAS, the 2018 assessment of the Premises was $161,265 and was
increased by the Village's Assessor based upon an improved bathroom to $165,000 or
an increase in assessed value of $3,735; and
WHEREAS, during a SCAR proceeding, the Village's Assessor stipulated the
assessment for the Premises back to its original assessment of $161,265 after the final
tax roll and tax billing; and
WHEREAS, the Owner and the Village's Assessor have made an Application for
Refund or Credit of Real Property Taxes to fix the taxes at the Premises at $3,735 and
to credit the Owner with $135.95; and
NOW THEREFORE, BE IT RESOLVED, that the Application for Refund or
Credit of Real Property Taxes as attached is accepted on the basis of an adjustment to
the assessed value of the Premises; and
BE IT FURTHER RESOLVED, that the Village tax assessment for 16 Kingsland
Road shall be and is fixed in accordance with the Application for Refund or Credit of
Real Property Taxes as attached; and
BE IT FURTHER RESOLVED, that any of the Village Mayor, Village
Administrator, and Village Assessor is authorized to make and accept amendments and
revisions to the Application for Refund or Credit of Real Estate Taxes so long as the
same either are not material or are not contrary to the Village's interest or
