Resolution of the Mayor and Board of Trustees of the Village of Sleepy Hollow
Authorizing Change Orders 1 thru 5 for the Continental Street Sewer Projert

Infrastructure LLC for the Continental Street Sewer Project: and
WHEREAS, the construction contract for this work now requires approval of Chanae
Orders o include additional construction costs as detailed in the attached Change
uraers 1 thru 5; and
WHEREAS, Dolph Rotfeld Engineering, the Village's Consulting Engineer for this
project, has recommended that these change orders be approved; and
WHEREAS, the costs of these change orders totals $ $39,752.80.
K " ! f R E ™ R E ' B E I T ^ S O L V E D that the Board of Trustees herein authorizes
the administrator to execute Change Orders 1 thru 5 as attached; and
BE IT FURTHER RESOLVED that the Village Treasurer will adjust the project budget
to reflect an increase of $39,752.80.

�Change Order #1 - While excavating to install the sheeting and shoring/trench protection for the
installation of the pipe, the contractor encountered several large boulders that had not been picked up
in the original exploratory borings or geotechnical report. The effort to perform a wider excavation,
remove the boulders, and handle the material resulted in an increase in labor and time to the
contractor. CO #1 cost is $5,000. This was an unforeseen field condition, we think the request is
reasonable, and we recommend that the Village approve this change order.
Change Order #2 is the cost to replace the 60 linear feet of sewer. The additional 60 feet of sewer to be
replaced wasn't part of the original plan. By the time we decided that we need to replace the pipe its
cost increased by $34.20 per linear foot. Overall, it is about $2,000 more than it would have been at the
unit price bid. CO #2 cost is $20,897.80 and it includes the complete furnishing and installing of the pipe
between PSMH A1 and the next manhole upstream as shown on the plans. With the state of the
availability of material during these unprecedented times, we were fortunate that the pipe is available
at all. Therefore, we feel that the increase of $2,000 over what would have been the cost at unit prices
for the entire 60-foot run is reasonable and we recommend that the Village approve this change order.
Change Order #3 described in the previous email, the contractor excavated several large boulders from
the trench and now must dispose of them as they cannot be used as backfill for the pipe. Rick Torres
from HHV has asked for 35 of the boulders but requested that they be brought to HHV's Van Cortlandt
site in Croton. CO #3 is the contractor's cost to load and transport the boulders. Based on discussions
with the contractor, he has not worked any profit into this change order. Since it benefits the project
(not to be used as backfill) and will satisfy a portion of the Village's obligation to provide landscaping
restoration to HHV we recommend that the Village approve this change order.
Change Order #4 - As the work continues downstream and gets into Continental Street we are working
with the contractor to minimize disturbance in the right of way. In the contractor has proposed a
method that will reduce construction time, provide a cleaner job, and minimize excavation. While the
CO is for $6,630, it is intended to replace Item 103 for which the contractor had bid $5,000. Since it is
therefore a difference of $1,630 and will allow the contractor to work quickly, more cleanly, and with
less disruption to Continental Street we recommend that the Village approve this change order.

Change Order #5. This is for the supply of material that we discussed prior. The material excavated
from the trench was deemed unsuitable as backfill by the geotechnical inspector for underneath the
driveway. The cost represented in this CO is for the supply and delivery of suitable backfill material. The
contractor originally requested more than 10 times what this CO shows, then he wanted almost twice as
much as where we are now. In each case as we scrutinized and questioned his numbers and approach
we were able to get him to come down. The work in this CO is necessary to provide a firm subbase for
the driveway and reduce the risk of uneven surface settlement, sinkholes, etc. The work is necessary
and the cost is reasonable. Therefore, we recommend that the Village approve this change order.
As excavation continues into the Continental Street roadway the geotechnical engineer will monitor the
material that the contractor excavates.

Responsibility:

Yost Design LLC shall not be responsible for any claims, liabilities, suits, demands, losses, costs and/or
expenses, accruing or resulting from any damages or losses to property or persons, arising out of this
project and/or this agreement for professional services except to the extent such claims are found by
a court or forum of competent jurisdiction to be caused by Landscape Architect's negligent errors or
omissions. Yost Design is authorized to take photos of the property and share any photos so long as
they do not reveal the location of the property or nature of ownership.
Yost Design shall have no responsibility for contractor's means, methods, equipment choice and
usage, work sequencing, schedule, safety programs, or safety practices, nor shall Yost Design have any
authority or responsibility to either stop or direct the work of the contractor. Yost Design's visits will
be for the purpose of attempting to provide the Client a degree of confidence that the completed
construction work will generally conform to the construction documents. Yost Design neither
guarantees the performance of contractors, nor assumes any responsibility for the contractor's failure
to perform their work in accordance with the contract documents.
Yost Design is not responsible for any additional duties other than those expressly provided for in this
Agreement. By signing this contract, the Client agrees that the contractor shall be solely responsible
for job site safety as well as their means and methods; and that the contractor shall indemnify the
Client and Yost Design for all claims and liability arising out of job site accidents; and that the Client
and Yost Design shall be made additional insureds under the contractor's general liability insurance
policy.

Waivers of Consequential Damages and Subrogation:
Client and Yost Design LLC waive all claims to consequential damages for any claims or disputes arising
out of or relating to this agreement.
In addition, Client and Yost Design waive all claims against each other to the extent covered by any
applicable insurance during design or construction, including but not limited to claims for subrogation.

Cancellation:

In the event the project or portions of the project are cancelled or postponed or the client is
nonresponsive for more than 90 days, Yost Design shall be entitled to fees incurred for the work
completed as described above.
