There were a total of 23 members that came from various sections of the Village, with different backgrounds and interests. The Village informed the Committee about the police reform process and provided the policies and procedures utilized by the Sleepy Hollow Police Department. There were a total of 8 meetings with the full-collaborative including one meeting in which the public had the opportunity to express their views. Additional town hall meetings were held at the School and local churches has part of a community outreach effort. In addition, a survey was prepared and sent out Village-wide, which resulted in responses by approximately 400 respondents. The survey was available in both English and Spanish. The Village Board of Trustees was represented on the collaborative by Mayor Ken Wray and Trustee Sandra Spiro. Dr. Sophine Charles was retained as facilitator and advisor. Village Administrator, Anthony Giaccio set up the meetings, took the minutes and distributed relevant information to the group. Documents that were made available to the group at the outset were Governor Cuomo's Executive Order, the Police Department's General Orders, the Police Reform Handbook and the Accreditation Manual. Due to the restrictions on gatherings that apply due to the COVID-19 pandemic, the meetings all took place via Zoom. The public was invited to attend and were allowed to make comments through the chat room feature. All meetings were properly noticed, recorded and made available on the Village's website. The public and collaborative members, at all times, were able to share comments through an e-mail that was set up for this specific purpose. The meeting schedule was consistent with the goals set forth in Governor Cuomo's Executive Order that established the Police Reform and Reinvention process. The process began with the members sharing their specific interests and why they joined collaborative. The first task was data collection. Different forms of data were accepted including qualitative, quantitative, statistical and anecdotal data. The goal was to try and collect data from the various communities that make up the Village such as the School, businesses, neighborhoods, ethnic groups and other interest groups. The police department also provided data related to arrests, summons and other information requested by the group. After the data was collected, it was analyzed and discussed at the meetings. This information was then used to formulate recommendations designed to meet the overall goals of the reform and reinvention process. A public meeting was then held to get additional input from the community. Over 50 comments were received during this meeting. These comments along with the survey results gave the collaborative a broad understanding of the various concerns that the residents have. There were also many positive comments and responses that also helped guide the collaborative. A list of recommendations was then established and made public. The Village Board reviewed and discussed the recommendations at a work session prior to adopting the plan. Some recommendations were deemed redundant and a final list was prepared for adoption by the Village Board along with the final Reform and Reinvention Collaborative Plan 4 �History of the North Tarrytown/SIeepy Hollow Police Department April of 1875, the North Tarrytown Board of Trustees appointed their first village constable, Charles Carle. A few months later, George Sherwood was named his assistant. In the fall, Casper Ernst was appointed a special constable. Later, William Baker was added to the list. In the spring of the following year, five names were submitted for village constables, and all were appointed for one year. Shortly afterward, Constable John Manser was appointed the first Chief of Police. In 1877 John Murray, who was serving as Chief, was removed for improper conduct, and Thomas Cain took his place. In 1879 James Oscar Jones was appointed Chief, Edward Barbalet, and James Van Tassel served in the '80s. The salary for Chief was about $100.00 a year with $50 or less for the constables. In 1888 Fred Hackett was appointed and was considered the first Chief of Police. It was under Chief Hackett that the police department was put on a sound footing with uniformed patrolmen replacing the constables. Milton Minnerly succeeded Hackett as chief in the late '90s, and it was during his tenure that rooms were leased for a police headquarters at the southeast corner of College Avenue and Cortlandt Street. The first Sergeant, John Rice, served under Minnerly in 1898, with William Kilday and George Remsen as patrolmen. The salary was set at $600.00 a year for the chief and sergeant and slightly less for the patrolmen. In 1891 a new lockup in the rear of Union Hose had been secured by Chief Hackett; six years later, he asked for steel cages. The cages were purchased under Chief Minnerly for $250. Daniel Murphy became Chief of police in 1919 at a salary of just $40 per week. Chief Murphy served until 1953, when he was succeeded by Anthony Speno. Francis Hogan became chief following Speno's resignation in 1955. John Jandrucko was appointed in 1966 and served till 1979 when Richard Spota was appointed. Spota served until 1991 when Chief James Brophy was appointed and served into 1997. Chief Jimmy Warren was appointed and served until late 2009. Retired Greenburgh Chief John Kapica was hired on February 1,2010, and served for one year. Chief Gregory Camp was appointed on February 1, 2011, serving until retirement on April 12, 2016. The current Police Chief, Anthony Bueti was appointed to Chief of Police on April 13, 2016. Under Chief Bueti's leadership, the department is focused on community policing and outreach with hiring practices designed to create a more diverse police department that is representative of the community. Patrolmen who earned only $25 a week in 1919 were expected to be always on duty subject to the chiefs call or the officer in charge. In those days, they were required to be village residents; this regulation has since been dropped. One of the patrolmen who became a landmark on Beekman Avenue was Joseph Lynch, who was one of the first motorcycle cops. In September of 1917, the village provided the police with their first motorcycle; it cost $310. Eventually, police cars supplemented the motorcycles. In 1934 a "roadster" was purchased for $679; "a fullyequipped car" followed a few years later. The installation of a radio system in 1941 modernized police communications and made the work of the department more efficient. Computers were added in the early 1990*s. 5 �CURRENT POLICE FORCE The Sleepy Hollow Police Department is comprised of twenty-seven sworn police officers. The staffing is as follows: 1 Chief of Police 2 Lieutenants 1 Detective Sergeants 4 Patrol Sergeants 1 Detective 1 School Resource Officer 17 Patrol Officers Officer Demographics 55% (15) of the officers identify as white 11% (3) Identify as African American 33% (9) Identify as Hispanic Four of the officers a female 68% (19) Officers live or have lived in the village for over a year CURRENT POLICIES AND PROCEDURES The current policies and procedures or "General Orders" of the Sleepy Hollow Police department consists of 25 sections. The sections include an introduction, a summary of the organization structure, duties and responsibilities, uniform and equipment, regulations, use of force/weapons, human resources, discipline, training, patrol operations, complaints, summonses, arrests, prisoners, property, court, aided cases, automobile accidents, special department units/vehicles, unusual occurrences, criminal investigations, department property, records management, public relations and internal affairs. These general orders were shared with the group and posted on the Village's website. These policies were analyzed to determine if any of them are potentially bias. HIRING Police Officer In order to become a police officer for the Village of Sleepy Hollow, an individual must pass a Civil Service examination and be reachable under Civil Service's "Rule of Three" or a transfer from another municipality. All officers are hired by the Sleepy Hollow Village Board. Special requirements needed to be a police officer include, possession of a high school or general equivalency, 20 years of age, have a valid New York State Driver's License and a United States Citizen. They also must pass medical, psychological and physical fitness screening examinations before qualifying for appointment. Candidates are subject to a pre-employment background investigation must successfully complete of the Municipal Police Training Council's Police Officer Basic Training Course. 6 �The Police Officer position involves responsibility for the protection of lives and property and the enforcement of all laws and ordinances in the village. While the work consists primarily of routine patrol tasks and is performed under supervision of a higher ranking officer, Police Officers are required to exercise sound, independent judgment by applying relevant laws, rules and regulations in the performance of their duties and in emergency situations. Police officers undergo rigorous classroom and on-the-job training to acquire the knowledge, skills and abilities necessary to satisfactorily carry out their assignments. Officers must be able to and must maintain the ability to carry a firearm. Police Officers must demonstrate the ability to read and understand the provisions of the New York State Penal Law, Code of Criminal Procedure, Vehicle and Traffic Law and local laws and ordinances; ability to understand and carry out complex oral and written instructions; ability to express oneself clearly and concisely in writing and conversation; ability to drive an automobile on patrol and in high speed pursuit situations; ability to pursue on foot (i.e. chase) and restrain individuals; ability to effect a full physical custody arrest; good powers of observation and memory; ability to qualify in the handling of firearms and to exercise good judgement and restraint in the use of such weapons and other types of physical force; ability to effectively relate to and work cooperatively with others; ability to deal with the public effectively and efficiently while maintaining a professional atmosphere in order to assist people in all type of situations with intelligence and courtesy; ability to tolerate long and stressful tours of duty which may include rotating shifts, encountering hostility and resentment from others and/or adverse weather conditions; ability to remain calm and to think and act appropriately under pressure; ability to handle emergencies quickly and appropriately including the ability to make split second decisions when necessary; ability to read, write, speak, understand, and communicate in English sufficiently to perform the essential duties of the position; ability to effectively use computer applications such as spreadsheets, word processing, calendar, e-mail and database software; excellent moral character and habits; honesty and integrity; good judgement; even temperament; emotional maturity; high degree of courage; no conviction of a felony; freedom from any innate or acquired nervousness; tact; dependability; physical condition commensurate with the position. PROMOTIONS Sergeants. Lieutenants and Chief In order to be promoted to a higher rank than police officer for the Village of Sleepy Hollow, an individual must qualify to take and pass a Civil Service examination and to be reachable under Civil Service's "Rule of Three". Per Civil Service rules, if there are eligible candidates, promotions must be made from within the Sleepy Hollow Police Department. All promotions are approved by the Sleepy Hollow Village Board. 7 �Sergeants are under the supervision of the lieutenants and have direct supervision over the activities of police officers on an assigned shift. They are responsible for coordinating and supervising police officers to ensure that they are properly executing their individual and collective assignments and duties in a diligent, responsible manner and in accordance with applicable laws and procedures. Supervision is exercised over the police officers through inspection and the assignment of duties in accordance with general instructions received from officers of higher rank. They too must be able to and must maintain the ability to carry a firearm. Sergeants must possess a good knowledge of modern principles and practices of police work; a good knowledge of controlling laws and ordinances; the ability to deal courteously, but firmly with the general public; an ability to work under condition of high stress and pressure; the ability to handle emergencies quickly and appropriately; the ability to understand and carry out complex oral and written instructions; the ability to read, write, speak, understand, and communicate in English sufficiently to perform the essential duties of the position; the ability to use computer applications such as spreadsheets, word processing, e-mail and database software; good powers of observation; conscientiousness and good judgment; physical condition commensurate with the duties of the position Lieutenants are under the general supervision of the Police Chief. They assume command and directs the operations of the Police Department during an assigned shift, and supervise its operation according to established procedures and policies. They must be able to and must maintain the ability to carry a firearm. Supervision is exercised over a substantial number of subordinate level police officers and the incumbent may assume the duties of Police Chief in his/her absence. Lieutenants must possess a knowledge of modern principles and practices of police work; a thorough knowledge of controlling laws and ordinances; the ability to instruct and direct subordinate officers; the ability to effectively use computer applications such as spreadsheets, word processing, calendar, e-mail and database software; the ability to read, write, understand and communicate in English sufficiently to perform the essential duties of the position; a familiarity with the operation of radio; the ability to deal courteously but firmly with the general public; good judgment; good powers of observation; tact; physical condition commensurate with the demands of the position. The Police Chief is the commanding officer of the Police Force and administers the activities of a municipal police department. The Police Chief is responsible to the local governing body for the execution of all laws, rules, and regulations of the department, which includes the apprehension of violators, the protection of the citizens and the maintenance of high standards of efficiency within the department. He must be able to and must maintain the ability to carry a firearm. Supervision is exercised over subordinate police officers in the department. The Police Chief has the authority to temporarily assign officers to tasks forces, special units and the detectives unit. The Police Chief must possess a thorough knowledge of police administration and methods; a thorough knowledge of scientific methods of crime detection and criminal identification; a thorough knowledge of controlling laws and ordinances; the ability to plan and direct the activities of police officers; an ability to read, write, speak, understand, and communicate in English sufficiently to perform the essential duties of the position; ability to 8 �effectively use computer applications such as spreadsheets, word processing, calendar, e-mail and database software; resourcefulness; sound judgment; initiative; good powers of observation; tact; physical condition commensurate with the duties of the position. TRAINING Members of the Police Department participate in training in such areas as Sexual Harassment /Workplace Violence, CPR/First Aid, Suicide Screening & Prevention, Law Updates, Mass Casualty Incident training, Raise the Age training, Breathe Analysis Operator, Standardized Field Sobriety Training, Law Enforcement Active Shooter Emer. Resp. (LASER), Police Supervision, Elder abuse, Child Seat Installation, Patrol Rifle/ Pistol/ Shotgun, Law Enforcement Bicycle Patrol Course, MPTC Use of Force Online Training, Search Warrant Training Course, Radar/Lidar Operator Course, Opioid Overdose and Intranasal Naloxone Training for Law Enforcement Course, Instructor Development Course - General Topics, Officer SurvivalPreparing for Armed Encounters, Drugs That Impair Driving Course, Commercial Vehicle Weight & Permits Seminar, Cellular Phone Investigations Course, Aerosol Subject Restraint Instructor Course, Basic Criminal Investigations Course, Street Encounters Course, Interview and Interrogation, Property/Evidence Room Management Course, Mental Health Instructor, Police Juvenile Officers Basic Course & the Internet Crimes against Children Course The training strategy within the Sleepy Hollow Police Department includes • To build trust and legitimacy by continuing to change the police culture to one of transparency and accountability. Increased accountability should be conducted at the county level and be consistent for all agencies. • Expand/Mandate training in key areas, including but not limited to: implicit bias; cultural diversity; de-escalation; crisis intervention; racial profiling; verbal judo, etc. (These topics are taught in the Basic Recruit School and in the County's Unified In-Service Training Program). Would recommend County PD provide the Academy curricula with explanations for each training module. We need to show that so much of this work is already being done even prior to new officers starting work in the field. • As the scope of law enforcement's responsibilities has expanded, the need for expanded and more effective training has become more critical. This includes providing leadership training for all officers throughout their careers. Partnerships between the federal/state/local governments with universities and police academies should develop and promote high quality training and establish training innovation hubs. A national postgraduate institute of policing for senior executives should be created to prepare participants to lead agencies in the 21st century. • Expand Supervisory training to at least annually • Supervisors must continue to be trained on early intervention and risk indicators 9 �• Train officers on community specific cultural literacy, the history of policing and procedural justice. • Encourage higher education of police officers by providing stipends for college degrees and advanced degrees. • Have officers from multiple agencies train together for uniformity and sharing of costs. POLICE DEPARTMENT DATA POINTS Five years of arrest data was collected by the Police Department to determine if there were any trends or potential bias. The data was distributed to the collaborative for analysis. Although some of the information provided was useful, there was a concern that the data collected was not thorough enough to reach any conclusions. An IT professional was brought in to recommend software that is designed to improve data collection and reporting. COMMUNITY DATA POINTS The Collaborative was asked to collect data from various communities within the Village in order to get good representation from various neighborhoods, ethnic groups, students, ages, merchants etc. The goal was to get a complete understanding of how the Sleepy Hollow Police Department is viewed by the public and where improvements need to be made. The members shared their findings with the group. Additional community data points were collected at smaller meetings held at St. Teresa's Church and at the School. A survey was sent to the residents to retrieve additional comments. Many of the comments related to a request for better communication and outreach with the Hispanic community. PUBLIC MEETING SUMMARY On March 18,2021, a public meeting was held to solicit comments from the general public on police reform. The purpose of the meeting was to give residents the opportunity to share their views, questions and concerns. Over 50 comments were received. The comments included ones that were both positive and critical of the Police Department. They ranged from traffic concerns to potential bias. The Collaborative was in attendance, but did not participate in the discussion. The comments received were used by the collaborative to help make recommendations. RECOMMENDATIONS The Village of Sleepy Hollow Police Reform and Re-imagination Collaborative is a work in progress. These recommendations are an early, interim step in that process; additional recommendations will be made as the Collaborative continues its work. We expect that 10 �those additional recommendations will be implemented by the Village, reviewed by the Collaborative to see if they are working, and revised as needed. As we are working against a New York State deadline that requires a submission of a report by Village of Sleepy Hollow on April 1 st , the Collaborative is making the following initial recommendations to the VSH Board of Trustees: 1) Continue the work of the Collaborative through the end of 2021. Specifically, the Collaborative will continue to review and analyze the policies and the work practices of the Sleepy Hollow Police Department to ensure that communities of color in Sleepy Hollow are both treated and supported equally, and that policies or practices that are biased or could be biased are identified, addressed and ended. 2) Provide real time Spanish - English translation (and other translation services as they are identified) at all Village meetings. Strengthen existing and develop/implement new communication channels with Spanish-speaking residents and with all communities of color with Sleepy Hollow to ensure consistent information exchange, support and transparency. 3) Increase Training (Implicit Bias, De-Escalation, Domestic Violence, Leadership) 4) Crisis Intervention coordinated with other communities. 5) Increase Community Policing 11 �MeetingDate:03/30/2021 Resolution#:03/30/2021 SECOND RESOLUTION APPROVING SETTLEMENT OF ACTION BY AMENTA DEVELOPMENT CO. FOR PROPERTY LOCATED AT 145 NORTH BROADWAY, SLEEPY HOLLOW, NY proceedings were commenced in New York State Supreme Court, Westchester County to challenge the tax assessment for property located at 145 North Broadway by owner Amenta Development Co.; and WHEREAS, the Village and the property owner reached a mutually agreeable resolution for the aforementioned pending proceedings filed under Index Nos. 9327/11, 56198/12, 55914/13, 56873/14, 56983/15, 55566/16, 55714/17, and 55608/18; and WHEREAS, because of a delay in approving the settlement, 2019 taxes came due and the property owner challenged those assessments in a proceeding filed under Index No. 56090/19; and WHEREAS, it has been recommended to the Board of Trustees by its Assessor and Attorney to resolve this litigation; WHEREAS, the Board of Trustees authorizes the Village Attorney to execute a Consent Judgment in substantially the form as attached to these Resolutions settling the claims in all respects with assessed values for the 2019 tax year as set forth in the "Assessed Value Reduced To" columns on the schedules at the end of these Resolutions; and be it further NOW, THEREFORE, BE IT RESOLVED that a refund for the 2019 tax year is authorized in the amount set forth in the "Anticipated Refund" columns on the schedules at the end of these Resolutions, subject to adjustment by an increase of not more than 5% or a reduction in any amount upon final calculation after entry of a Consent Judgment implementing the settlement. Upon the execution of this Agreement, Headless Horseman shall pay the sum of TWENTY THOUSAND FIVE HUNDRED SIXTY TWO DOLLARS AND THIRTY FIVE CENTS ($20,562.35) to the Village in full satisfaction of that portion of the Unpaid 2020 Village Taxes owed to the Village. 5. Upon the execution of this Agreement, Headless Horseman shall pay the Village the sum of ONE HUNDRED FIVE THOUSAND DOLLARS ($105,000) in full satisfaction of the Unpaid Village Taxes. 6. The Village, upon receipt of $105,000 and $20,562.35 from Headless Horseman shall issue paid receipts for all Unpaid Village Taxes and the Unpaid 2020 Village Taxes owed to Headless Horseman and any lender or Headless Horseman's title insurer. 7. The Town, Village and Headless Horseman all agree that all pending Article 7 Proceedings are settled between the parties as set forth above and as further set forth herein: {01113090.docx.} -3- �a) It is agreed that for all proceedings concerning the 2012 through 2019 Town and Village assessments are settled using a combined fair market valuation of the Subject Property of $600,000 for each assessment year at issue; b) It is agreed that the Village and Town proceedings concerning the 2020 Town and Village assessments are settled by a confirmation of the Village and Town assessments (Village assessed values of $150,960 and $57,060 with Town assessed values of $11,950 and $1,750); c) It is agreed that a Consent Judgment shall be entered in Supreme Court, Westchester County concerning the 2012 through 2019 assessments for the Article 7 Proceedings (Index No's: 67822/2012, 67107/13, 67679/2014, 67269/2015, 65174/2016, 67125/2017, 66105/2018 and 66384/2019), with such Consent Judgment also addressing the Town's 2020 assessments. The tax refunds due Headless Horseman based on the entered Consent Judgment from the County of Westchester (estimated to be approximately $10,500) and the Union Free School District of the Tarrytowns (estimated to be approximately $56,801) (collectively the "Refund Amount") shall be immediately paid to the Town, time being of the essence, by Headless Horseman through its attorney and agent in these proceedings once the tax refunds are received. Headless Horseman also waives any refund under the Article 7 Proceedings and/or Consent Judgment from the Town, for Town and Special District taxes; d) It is agreed that any Village refunds which would be paid to Headless Horseman due to the settlement of the Village Tax Certiorari Article 7 proceedings, for assessment years 2012 through 2019, are considered part of the consideration for this Agreement, with no refunds being issued by the Village and therefore, no Consent Judgment is required to be entered relating to such claims and no refund will be issued by the Village related thereto, with Headless Horseman waiving any and all refunds and having no claim to any refund from the Village. e) It is agreed by Headless Horseman that all Town and Village proceedings concerning assessment years prior to assessment year 2012 are considered disposed of with no change in final assessments. 8. It is further agreed that the Town and Village will withdraw their claims in the existing Headless Horseman reorganization proceeding in Bankruptcy Court and will consent to the reorganization plan of Headless Horseman based upon the terms of this Agreement. 9. Incorporation bv Reference. Recitals. All documents and recitals referred to in this Agreement are made a part hereof and incorporated herein by reference. 10. Copies. Any true executed copy of the Agreement shall be deemed to constitute an original of the same. 11. Construction and Interpretation. No provision in this Agreement shall be interpreted for or against another party because that party's attorney drafted such provision. 12. Attorneys' Fees. Deliverables will generally consist of technical memoranda, a traffic model, as well as concept sketches for roadway circulation plans, as well as pedestrian, bicycle and transit connections. 1. Existing Conditions a. Records research - We will research and identify any existing plans, data, and analyses that were previously collected and/or developed that will be useful to the study. This includes any existing traffic data, reports, or plans performed by others in the last five years. b. c. d. e. 2. Physical Inventory - A physical inventory will be conducted to identify existing street geometry and traffic control devices such as signal operations, stop-controlled intersection approaches, number and type of lanes, sidewalks, crosswalks, parking, bus stops etc. Pedestrian desire lines will also be identified if possible (e.g. are worn out paths within the island, or observances of pedestrians crossing mid-block where no controls exist). Data Collection - Past studies and data collection will be relied upon for this study. i. Traffic and pedestrian data - We have conducted an online search and found relevant data and analysis from the FEIS for the East Parcel Redevelopment project. Vehicular and pedestrian data is included for typical weekdays and weekends, as well as special event time periods around Halloween season. The FEIS includes future projected volumes reflecting additional traffic generated by the Edge and East Parcel developments. ii. Crash Data - We will request and summarize existing Analysis Traffic - Traffic operations will be analyzed using Synchro 10 simulation software, which is the standard capacity analysis software used by most municipalities and accepted by NYSDOT for their traffic studies. Peak hour periods for the weekday morning, midday, and evening periods, as well as Saturday midday conditions will be analyzed. ii. Safety Study - Crash data will be summarized and assessed to identify any safety issues and design deficiencies. Crash data from the last 3 years of available data will be summarized I tabular format accompanied by summary description of the safety assessment (Note: This scope does not include development of crash diagrams). C o m p a r a b l e s - We will identify and provide precedents for similar projects and interventions addressing similar challenges and goals. A minimum of three comparable projects will be provided and summarized. Proposed conditions a. Design review and conceptual design plans - We will collaborate with the design team and stakeholders to develop up to three concepts that will be assessed and analyzed. (a) H&H's undertaking to perform professional services extends only to the services specifically described in this Agreement. However, if requested by the Client and agreed to by H&H, H&H will perform Additional Services, which shall be governed by these provisions. Unless otherwise agreed to in writing, the Client shall pay H&H for any Additional Services an amount based upon H&H's then-current hourly rates plus an amount to cover certain direct expenses including telecommunications, in-house reproduction, postage, supplies, project related computer time, and local mileage. Other direct expenses will be billed at 1.15 times cost. <b) If H&H is called upon by Client, or subpoenaed by any other person, to testify or produce records in an action at law, equity, arbitration, or in a pre-trial hearing or conference, as to any work performed by anyone in connection with this project, H&H shall be paid by the Client for all time spent while testifying and preparing therefore and producing such records in accordance with H&H's then-current hourly rates plus an amount to cover certain direct expenses including telecommunications, in-house reproduction, postage, supplies, project related computer time, and local mileage. Other direct expenses will be billed at 1.15 times cost. (2) Client's Responsibilities. In addition to other responsibilities described herein or imposed by law, the Client shall: (a) Designate in writing a person to act as its representative with respect to this Agreement, such person having complete authority to transmit instructions, receive information, and make or interpret the Client's decisions. (b) Provide all information and criteria as to the Client's requirements, objectives, and expectations for the project including all numerical criteria that are to be met and all standards of development, design, or construction. (c) Provide to H&H all previous studies, plans, or other documents pertaining to the project and all new data reasonably necessary in H&H's opinion, such as site survey and engineering data, environmental impact assessments or statements, upon all of which H&H may rely. (d) Arrange for access to the site and other private or public property as required for H&H to provide its services. (e) Review all documents or oral reports presented by H&H and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of H&H. (f) Furnish approvals and permits from governmental authorities having jurisdiction over the project and approvals and consents from other parties as may be necessary for completion of H&H's services. (g) Cause to be provided such independent accounting, legal, insurance, cost estimating and overall feasibility services as the Client may require. (h) Give prompt written notice to H&H whenever the Client becomes aware of any development that affects the scope, timing, or payment of H&H's services or any defect or noncompliance in any aspect of the project. Unless otherwise stated herein, H&H will begin work timely after receipt of a properly executed copy of this Agreement and any required retainer amount. This Agreement is made in anticipation of conditions permitting continuous and orderly progress through completion of the services. Times for performance shall be extended as necessary for delays or suspensions due to circumstances that H&H does not control. If such delay or suspension extends for more than six months {cumulatively), H&H's compensation shall be renegotiated. (4) Method of Payment. Compensation shall be paid to H&H in accordance with the following provisions: (a) Invoices will be submitted periodically for services performed and expenses incurred. Payment of each invoice will be due within 25 days of receipt. The Client shall also pay any applicable sales tax. All retainers will be held by H&H for the duration of the project and applied against the final invoice. Interest will be added to accounts not paid within 25 days at the maximum rate allowed by law. If the Client fails to make any payment due to H&H under this or any other agreement within 30 days after H&H's transmittal of its invoice, H&H may, after giving notice to the Client, suspend services and withhold deliverables until all amounts due are paid in full and may commence proceedings, including filing liens, to secure its right to payment under this Agreement. (b) If the Client relies on payment or proceeds from a third party to pay H&H and Client does not pay H&H's invoice within 60 days of receipt, H&H may communicate directly with such third party to secure payment. (c) If the Client objects to an invoice, it must advise H&H in writing giving its reasons within 14 days of receipt of the i nvoice or the Client's objections will be waived, and the invoice shall conclusively be deemed due and owing. If the Client objects to only a portion of the invoice, payment for all other portions remains due within 25 days of receipt. (d) The Client agrees that the payment to H&H is not subject to any contingency or condition. H&H may negotiate payment of any check tendered by the Client, even if the words "in full satisfaction" or words intended to have similar effect appear on the check without such negotiation being an accord and satisfaction of any disputed debt and without prejudicing any right of H&H to collect additional amounts from the Client. (5) Use of Documents. All documents, including but not limited to drawings, specifications, reports, and data or programs stored electronically, prepared by H&H are related exclusively to the services described in this Agreement, and may be used only if the Client has satisfied all of its obligations under this Agreement. They are not intended or represented to be suitable for use, partial use or reuse by the Client or others on extensions of this project or on any other project. Any modifications made by the Client to any of H&H's documents, or any use, partial use or reuse of the documents without written authorization or adaptation by H&H will be at the Client's sole risk and without liability to H&H, and the Client shall indemnify, defend and hold H&H harmless from all claims, damages, losses and expenses, including but not limited to attorneys' fees, resulting therefrom. H&H's electronic files and source code developed in the development of application code remain the property of H&H and shall be provided to the Client only if expressly provided for in this Agreement. Any electronic files not containing an electronic seal are provided only for the convenience of the Client, and use of them is at the Client's sole risk. In the case of any defects in the electronic files or any discrepancies between them and the hardcopy of the documents prepared by H&H, the hardcopy shall govern. Because data stored in electronic media format can deteriorate or be modified without H&H's authorization, the Client has 60 days to perform acceptance tests, after which it shall be deemed to have accepted the data. �Village of Sleepy Hollow - Broadway Traffic Island Traffic Engineering, Safety and Mobility Support Services Dec 11, 2020 (6) Opinions of Cost. Because H&M does not control the cost of labor, materials, equipment or services furnished by others, methods of determining prices, or competitive bidding or market conditions, any opinions rendered as to costs, including but not limited to opinions as to the costs of construction and materials, shall be made on the basis of its experience and represent its judgment as an experienced and qualified professional, familiar with the industry. H&H cannot and does not guarantee that proposals, bids or actual costs will not vary from its opinions of cost. If the Client wishes greater assurance as to the amount of any cost, it shall employ an independent cost estimator. H&H's services required to bring costs within any limitation established by the Client will be paid for as Additional Services. (7) Termination. The obligation to provide further services under this Agreement may be terminated by either party upon seven days' written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof through no fault of the terminating party, or upon thirty days' written notice for the convenience of the terminating party. If any change occurs in the ownership of the Client, H&H shall have the right to immediately terminate this Agreement. In the event of any termination, H&H shall be paid for all services rendered and expenses incurred to the effective date of termination, and other reasonable expenses incurred by H&H as a result of such termination. If H&H's compensation is a fixed fee, the amount payable for services will be a proportional amount of the total fee based on the ratio of the amount of the services performed, as reasonably determined by H&H, to the tota! amount of services which were to have been performed. If the project is suspended or abandoned in whole or in part for more than three months, H&H shall be compensated for all services performed and expenses incurred prior to receipt of written notice from Client of such suspension or abandonment in an amount as determined in accordance with the provisions set forth in this Agreement, together with all reasonable termination costs and expenses. (8) Insurance. H&H carries Workers' Compensation insurance, professional liability insurance, and general liability insurance. If the Client directs H&H to obtain increased insurance coverage, H&H will take out such additional insurance, if obtainable, at the Client's expense. (9) Standard of Care. The standard of care applicable to H&H's services will be the degree of care and skill ordinarily exercised by consultants performing the same or similar services in the same locality at the time the services are provided. No warranty, express or implied, is made or intended by H&H's undertaking herein or its performance of services, and it is agreed that H&H is not a fiduciary with respect to the Client. (10) LIMITATION OF LIABILITY. In recognition of the relative risks and benefits of the Project to the Client and H&H, the risks have been allocated such that the Client agrees, to the fullest extent of the law, and notwithstanding any other provisions of this Agreement or the existence of applicable insurance coverage, that the total liability, in the aggregate, of H&H and H&H's officers, directors, employees, agents, and subconsultants, to the Client or to anyone claiming by, through or under the Client, for any and all claims, losses, costs or damages whatsoever arising out of, resulting from or in any way related to the services under this Agreement from any cause or causes, including but not limited to, the negligence, professional errors or omissions, strict liability or breach of contract or any warranty, express or implied, of H&H or H&H's officers, directors, employees, agents, and subconsultants, shall not exceed the total compensation received by H&H for basic fee under this Agreement or $50,000, whichever is greater. Higher limits of liability may be negotiated for additional fee. Under no circumstances shall H&H be liable for extra costs or other consequences due to changed conditions, or for costs related to the failure of contractors to perform work in accordance with the plans and specifications. This Section 10 is intended solely to limit the remedies available to the Client or those claiming by or through the Client, and nothing in this Section 10 shall require the Client to indemnify H&H. �Village of Sleepy Hollow - Broadway Traffic Island Traffic Engineering, Safety and Mobility Support Services Dec 11, 2020 (11) Mutual Waiver of Consequential Damages. In no event shall either party be liable to the other for any consequential, incidental, punitive, or indirect damages including but not limited to loss of income or loss of profits. (12) Certifications. H&H shall not be required to execute certifications or third-party reliance letters that are inaccurate, that relate to facts of which H&H does not have actual knowledge, or that would cause H&H to violate applicable rules of professional responsibility. (13) Dispute Resolution. All claims by the Client arising out of this Agreement or its breach shall be submitted first to mediation in accordance with the Construction Industry Mediation Procedures of the American Arbitration Association as a condition precedent to litigation. (14) Hazardous Substances and Conditions. In no event shall H&H be a custodian, transporter, handler, arranger, contractor, or remediator with respect to hazardous substances and conditions. H&H shali have no responsibflity for the discovery, presence, handling, removal or disposal of or exposure of persons to hazardous materials in any form at the Project site, including but not limited to asbestos, asbestos products, polychlorinated biphenyl (PCB), bacteria, mold, fungi, or other toxic substances, infectious materials, or contaminants. To the fullest extent permitted by law, Client shall hold harmless, defend and indemnify H&H and its consultants, and each of their owners, directors, employees, heirs, successors and assigns from any and all claims, suits, demands, damages, losses, judgments, payments, awards, and expenses which directly or indirectly arise from or relate to any such hazardous materials. H&H shall notify the Client of hazardous substances or conditions not contemplated in the scope of services of which H&H actually becomes aware. Upon such notice by H&H, H&H may stop affected portions of its services until the hazardous substance or condition is eliminated. (15) Construction Phase Services. (a) If H&H's services include the preparation of documents to be used for construction and H&H is not retained to make periodic site visits, the Client assumes all responsibility for interpretation of the documents and for construction observation, and the Client waives any claims against H&H in any way connected thereto. (b) If H&H provides construction phase services, H&H shall have no responsibility for any contractor's means, methods, techniques, equipment choice and usage, sequence, schedule, safety programs, or safety practices, nor shall H&H have any authority or responsibility to stop or direct the work of any contractor. H&H's visits will be for the purpose of endeavoring to provide the Client a greater degree of confidence that the completed work of its contractors will generally conform to the construction documents prepared by H&H. H&H neither guarantees the performance of contractors, nor assumes responsibility for any contractor's failure to perform its work in accordance with the contract documents. (c) H&H is not responsible for any duties assigned to the design professional in the construction contract that are not expressly provided for in this Agreement. The Client agrees that each contract with any contractor shall state that the contractor shall be solely responsible for job site safety and for its means and methods. The Client shall cause any Contractor responsible for construction of work designed or specified by H&H or responsible for any other services relating to H&H's services to indemnify H&H to the fullest extent permitted by law against risks which are not normally borne by the design professions in the form of AIA Document A-201 - General Conditions of the Contract for Construction (1987 Edition), Section 3.18. Client shall also cause such Contractor(s) to name H&H as an additional insured on Contractor's Comprehensive General Liability policy. �Village of Sleepy Hollow - Broadway Traffic Island Traffic Engineering, Safety and Mobility Support Services Dec 11, 2020 (d) Review of Contractor submittals (for example, shop drawings), if included in H&H's Scope of Services, is not conducted for the purpose of determining the accuracy and completeness of details such as dimensions and quantities or for substantiating instructions for installation or performance of equipment or systems designed by the Contractor, all of which remain the responsibility of the Contractor to the extent required by the Contract Documents. H&H's review shall not constitute approval of safety precautions or of construction means, methods, techniques, sequences, or procedures. H&H's approval of a specific item shall not indicate approval of an assembly of which the item is a component. When professional certification of performance characteristics of materials, systems or equipment is required by the Contract Documents, H&H shall be entitled to rely upon such certification to establish that the materials, systems or equipment will meet the performance criteria required by the Contract Documents. (e) Periodic site visits, if included in H&H's Scope of Services, shall mean that H&H shall visit the site at intervals, appropriate to the stage of construction, or as otherwise agreed with Client in writing. The purpose of periodic site visits is to become generally familiar with the progress and quality of the work designed by H&H and to determine in general if such work is proceeding in accordance with the Contract Documents. H&H shall not be required to make exhaustive or continuous on-site inspections to check the quality or quantity of the work designed by H&H. On the basis of such on-site observations as an engineer, H&H shall keep Client informed of the progress and quality of the work designed by H&H and shall endeavor to guard the Owner against defects and deficiencies in such work of the Contractor. (f) Full time project representation services, if included in H&H's Scope of Services, shall mean that H&H shall endeavor to provide further protection for the Owner against defects in the work designed by H&H. The furnishing of such full-time project representation services shall not make H&H responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions and programs. H&H shall not have control or charge of and shall not be responsible for the acts or omissions of the Contractor, Subcontractors, or any other persons performing any of the work. H&H shall not be responsible for the failure of the Contractor, Subcontractors or any other persons performing any work to carry out the work in accordance with the Contract Documents. (16) If the project is to be designed, bid and/or constructed according to a "fast track" schedule, in consideration of the benefits to the Client of employing the fast track process (in which design services overlap the construction work and are out of sequence with the traditional project delivery method), the receipt and sufficiency of which are hereby acknowledged, and in recognition of the inherent risks of fast tracking to H&H, the Client hereby agrees to waive all claims against H&H, its officers, directors, employees and subconsultants (collectively. Consultant) for design changes and for required modifications by contractor of portions of the Work already constructed due to the Client's decision to employ the fast track process. In addition, the Client hereby agrees, to the fullest extent permitted by law, to indemnify and hold harmless Consultant, against all damages, liabilities or costs, including reasonable attorneys' fees and defense costs, arising out of or in any way connected with the "fast tracking" of this Project, excepting only those damages, liabilities or costs attributable to the sole negligence or willful misconduct by the Consultant. The Client hereby further agrees to compensate the Consultant for all Additional Services required to modify, correct or adjust the Construction Documents and coordinate them in order to meet the Client's program requirements because of the Client's decision to construct the Project in a fast track manner. (17) No Third-Party Beneficiaries; Assignment and Subcontracting. This Agreement gives no rights or benefits to anyone other than the Client and H&H, and all duties and responsibilities undertaken pursuant to this Agreement will be for the sole benefit of the Client and H&H. H&H reserves the right to augment its staff with subconsultants as it deems appropriate due to project logistics, schedules, or market conditions. If H&H exercises this right, H&H will maintain the agreed-upon billing rates for services identified in the contract, regardless of whether the services are provided by in-house employees, contract employees, or independent subconsultants. (18) Confidentiality. The Client consents to the use and dissemination by H&H of photographs of the project and to the use by H&H of facts, data and information obtained by H&H in the performance of its services. If, however, any facts, data or information are specifically identified in writing by the Client as confidential, H&H shall use reasonable care to maintain the confidentiality of that material. (19) Miscellaneous Provisions. This Agreement is to be governed by the law of the State in which the project is located. This Agreement contains the entire and fully integrated agreement between the parties and supersedes alt prior and contemporaneous negotiations, representations, agreements or understandings, whether written or oral. Except as provided in Section 1, this Agreement can be supplemented or amended only by a written document executed by both parties. Provided, however, that any conflicting or additional terms on any purchase order issued by the Client shall be void and are hereby expressly rejected by H&H. Any provision in this Agreement that is unenforceable shall be ineffective to the extent of such unenforceability without invalidating the remaining provisions. The non-enforcement of any provision by either party shall not constitute a waiver of that provision. (20) To the fullest extent permitted by law, the Client shall hold harmless, defend and indemnify H&H and its consultants, and each of their owners, directors, employees, heirs, successors and assigns from any and all claims, suits, demands, damages, losses, judgments, payments, awards, and expenses arising out of the Client's negligence on this project; Contractor(s)' negligence in performing the work and/or supplying the materials; or the negligence of any other party relative to the project except that, subject to paragraph 10, H&H shall be liable for claims, damages, losses, judgments and expenses due to the sole negligence of H&H, its owners, directors, employees and consultants. (21) The foregoing conditions are incorporated into any agreement under which services are to be performed by H&H for the Client. If any of H&H's Standard Conditions or portions thereof shall be adjudged null and void, it is agreed that the remain ing Standard Conditions or portions thereof shall remain intact and be given full force and effect.
