�CONSULTING AGREEMENT

This Consulting Agreement is between The Village of Sleepy Hollow (the "Village") and Charles
McKinney, of Urban Strategies LLC, ("Consultant").
The Village wishes to engage the Consultant to perform services on the terms and conditions

and conditions described in this Agreement.

Accordingly, the Consultant and the Village agree as follows:
1-

Consulting Services
a. The consulting service will commence March 12, 2020.
b. The consultant will work under the direction of Mayor Wray and any designee
c. The work will be focused on design guidance, consultant selection and review
and project advancement of the Sleepy Hollow Common, the DPW compound
the community building, the Pocantico river shoreline, Devries Park and the
Union Hall site.
d. Other work as requested.

2.

Term
a. The term of this Agreement shall commence on March 12, 2020. This
agreement may be terminated at any time, for any reason, by either the
Consultant or the Fund upon ten (10) business days prior written notice.

3.

Payment for Consulting Services
a. The Consultant shall be paid $200 per hour, not to exceed $50,000 in the
aggregate without express written consent from the Mayor. The Village also
agrees to reimburse the Consultant for travel, as well as other reasonable and
necessary expenses. The Consultant shall present monthly invoices to the
Village with outlines of work performed.
b. The Fee described in this paragraph 3.a are total amounts payable under this
Agreement for the performance by Consultant of his obligations hereunder,
except for the reimbursement of reasonable and necessary expenses incurred
by the Consultant directly in furtherance of providing services under this
Agreement. Any extraordinary expenses to be incurred shall be approved, in
writing, in advance. Reimbursement to Consultant shall be made in accordance
with the Village's usual procedures. Reimbursable expenses shall be submitted
in writing with appropriate documentation covering such expenses and subject
to approval by the Fund.
c.

Fees will be paid upon receipt of detailed bills and should be submitted directly
to the Village offices.

4.

Nature of Relationship
a. Consultant is an independent contractor and not an employee or agent of the
Village. Nothing in this agreement shall be construed to constitute a joint
venture, partnership, employment, agency or similar agreement between the
parties.
b. Consultant's work is advisory to the Village and shall have no authority to
create or assume any liability for himself or Urban Strategies LLC, or obligation
of the Village without the prior written consent of the Village.
c. Consultant shall not be entitled to any of the fringe benefits provided by the
Village to its employees. Consultant's services will be performed in the
Village's office, at meetings and the work site, or in his own office, at his
discretion.

a. If the Consultant or the Village desires to amend this Agreement, such
amendment(s) must be in writing and signed by both parties.
