                  <text>A regular meeting of the Board of Trustees of the Village of Sleepy Hollow was held
on Tuesday, May 8, 2001 at 8 PM in Village Hall, 28 Beekman Avenue, Sleepy
Hollow, New York.

Mayor Zegarelii called the meeting to order with a prayer and pledge to the flag.
Public Hearing
Mayor Zegarelii read the attached public hearing notice regarding the Helmet
Safety Law and gave a brief explanation.
There were no comments from the public. Trustee Rodriguez moved, seconded by
Trustee Zieja to adjourn the public hearing, motion carried.
Approval of Minutes
Trustee Hart moved, seconded by Trustee Rodriguez to approve the minutes of
April 10,2001 as written, motion carried 5-0-1 with Trustee Zieja abstaining.
Trustees DiFelice moved, seconded by Trustee Higle to approve the minutes of April
17,2001 as written, motion carried 5-0-1 with Trustee Zieja abstaining.
Trustee Rodriguez moved, seconded by Trustee Zieja to approve the minutes of
April 24,2001 as written, motion carried 4-0-1 with Trustees Stever and DiFelice
abstaining.
Public Comments
Mario Belanich had comments regarding the new telephone system.
Elizabeth Garreis of 120 Gordon Avenue commented that when she takes walks on
Gory Brook Road she sees a lot of trash all over by the chain, also litter on County
House Road. She presented pictures to the Mayor and Board. Mayor Zegarelii
stated that the litter on Gory Brook Road is an ongoing problem. As far as the litter
on County House Road, we are not sure whose jurisdiction that area belongs to.
Lorraine and Jim Vallo presented the attached letter to the Mayor and Board
regarding an ongoing problem they are having with erecting a retaining stonewall.

�Approval of Warrants
Trustee DiFelice moved, seconded by Trustee Higle to approve the warrants and
authorize the Treasurer to pay the bills. Trustee Stever asked that one bill to
Charles Manganaro be held out until further explanation of the bill, motion carried
6-0. The total of the General fund is $180,995.97m, the Water fund total is
S23,691.00 and the Capital fund total is 546,497.25.
Mayor's Report
Mayor Zegarelli reported that Police Recognition Awards presentation will be held
on May 15 th at 7 PM.
We will be hosting the Chamber of Commerce meeting on May 17th at 6:30PM in
Columbia Hose.
The Mayor reported that the new Municipal Parking lot will be ready for parking
next week. There will be metered parking during the day and permit parking at
night.
The Sleepy Hollow Parking Authority has been reconstituted with George Tanner
as the Chairman and they will be meeting on the first Monday of every month.
He commented on the great job that Luis Vilches has done with the planting of
flowers throughout the village.
Mayor Zegarelli reported that the Chairs of all the Boards will meet next Monday
with our consultants.
The Headless Horseman Statue Committee will meet on May 21 s t at 7:30 PM.
The Department of Public Works will be connecting the storm sewer across
Beekman Avenue this Saturday.
Trustees Reports
Trustees DiFelice, Rodriguez, Hart, Zieja and Higle had no reports.
Trustte Stever reported that last week he and Trustees DiFelice and Rodriguez met
with representatives of General Motors to interview two developers that General
Motors is considering. They spent two days of intensive discussions with them.
Trustee Stever commented that he shared videos and insights with the Board before
this meeting.

Mayor Zegarelli was in receipt of a letter from Mr. &amp; Mrs. McAdams thanking Joe
DeFeo for work that he had done for them.

�The Mayor was in receipt of copies of certificates on EMT Defribulations for Officer
D'AHesandro and Aerosol Restraint Instructor for Sgt. Bizzaro .
The Mayor received a turn off notice from Con Ed for 12 Cedar Street and 72
Beekman Avenue.
The Mayor has sent letter to Emile Spaulding regarding increase in cable rates.
The Mayor was in receipt of correspondence from Richard Maki of the VFW
requesting permission to hold a poppy sale on May 24th, 25th, 26th and 27 l \ Trustee
DiFelice moved, seconded by Trustee Stever to grant them permission, motion
carried 6-0.
We received a donation of $10,000.00 from an anonymous donor for TNT baseball.
The second annual Hudson River water recreation instruction and safety program
will take place on May 19th from 10AM-1PM at Kingsland Point Park.
The Mayor received a copy of a letter sent to Wad el Stillman of Historic Hudson
Valley regarding the master federal aid enhancement agreement waterways at
Philispburgh Manor.
The Mayor was in receipt of a letter from Village of Tarrytown thanking us for
attending their meeting regarding the bridge. Next meeting will be on May 23 rd .
We are in receipt of a copy of a letter from Tarrytown's Village Administrator to
Metro North regarding the H-bridge.
Mayor Zegarelli received a letter from Josephine Daly requesting a handicap space
on Andrews Lane for her sister, Mary Variano. (Will be referred to Pat Ramsey of
the Disabilities Committee)
There being no further business, Trustee DiFelice moved, seconded by Trustee
Rodriguez to adjourn the meeting, motion carried.

EMERGENCY MEDICAL SERVICES (EMS) AGREEMENT
This Emergency Medical Services Agreement dated as of May

, 2001

("the Agreement") by and between the Village of Sleepy Hollow, a municipal corporation

of the State of New York with offices at 28 Beekman Avenue, Sleepy Hollow, New York
10591 (the "Village") and the Starnet Emergency Services Inc., a corporation organized
under the laws of the State of New York with a principal place of business at 1 North
Greenwich Road, Armonk, New York 10504 (the "Contractor").
RECITALS
WHEREAS, the "Village" is authorized by virtue of Section 122-b of the
General Municipal Law of the State of New York to provide general ambulance service
for the purpose of treating and transporting sick and injured persons found within its
boundaries to an acute care hospital; and
WHEREAS, the Village is desirous of entering into an agreement providing

such ambulance service to the Village of Sleepy Hollow pursuant to said provisions of
law; and
WHEREAS, Contractor has trained and experienced personnel and is
certified by the New York State Department of Health as an ambulance service; and
WHEREAS, Contractor is desirous of furnishing emergency medical
services to said Village under the terms and conditions set forth herein; and
WHEREAS, at a regular meeting of the Board of Trustees of the Village
held

, the Village duly authorized this agreement with Contractor upon the

terms and provisions herein set forth; and

�WHEREAS, this agreement has been duly authorized by the directors of the
Contractor;
NOW, THEREFORE, in consideration of the mutual promises herein
contained, the Village does engage Contractor to furnish emergency medical services to
the Village of Sleepy Hollow and Contractor agrees to furnish such services, to wit:
SERVICES TO BE PROVIDED BY CONTRACTOR
1. Contractor during the terms of this agreement and any renewals hereof,
shall provide emergency medical services (EMS). Said EMS shall include providing an
emergency ambulance to be on call. In the event of a planned or unplanned event
requiring more than one ambulance, Contractor shall provide the Village with any
necessary additional resources available to Westchester EMS (Stamet Emergency
Services, Inc.). In addition to the foregoing, Contractor shall provide on request, when
needed, Mutual Aid to other agencies responding to emergencies. Contractor shall staff
vehicles in the manner required by the State of New York and its appropriate agencies.
2. Contractor shall respond to direct calls or those referred by any
emergency medical services agency and shall transport sick or injured persons found
within the boundaries of the Village, or otherwise under Mutual Aid needing emergency
care to a hospital located in Westchester County, unless requested by Medical Control to
deliver him/her to another hospital. This provision shall not be construed to limit the
primary operating territory, as specified in the Ambulance Service Certificate or
otherwise limit operations pursuant to a mutual aid agreement, in response to a disaster

�management situation or pursuant to temporary approval by the New York State
Department of Health.
3. Contractor agrees to provide training and continuing education of its
membership, including such certification and re-certification as may be required by law.
Contractor further agrees to keep in force its Ambulance Service Certificate, and to
maintain compliance with the applicable requirements of article 30 of the Public Health .
Law and the State Emergency Medical Service Code. Contractor will also coordinate
through Phelps Memorial Hospital Center, emergency medical technician training for
qualified members of the Village's Emergency Services Department.
4. Contractor agrees to provide the public liability and professional liability
(malpractice) insurance naming the Village as an additional insured.
5. The Village hereby authorizes Contractor, pursuant to State Comptroller
Opinion 91-20 and the authority contained in General Municipal Law Section 122-b-2, to
impose the fees or charges set forth on Schedule

, or as the same may be hereafter

amended from time to time by the Village upon recommendation of Contractor. Such
fees or charges may be billed directly to the user's insurance carrier, in such instances
that the user's insurance contract so provides for such direct payment so long as a copy of
said bill is also sent to the user. Contractor shall keep proper records and accounts of all
monies so received.

�6. The Village agrees to deposit a retainer of twenty-seven thousand
($27,000) dollars, with Contractor upon execution of this agreement to defray costs of the
Contractor incurred in treating and transporting patients who do not have health insurance
or who cannot otherwise pay the fees referred to in paragraph 5 of this agreement. This
retainer shall not be offset by any fees or payments not collected or under-colleted (bad
debt). The Contractor shall be entitled to the entire retainer regardless of the
reconciliation of payment and/or bad debt, upon completion of the entire term of this
agreement. Should either party terminate the agreement according to the terms set forth
herein, Contractor shall be entitled to retain a pro-rata share of the retainer based upon the
number of months during which services were provided to the Village by Contractor.
7. Contractor shall provide a report monthly of persons treated, which shall
also indicate instances in which payment was not collected or under-collected.
8. Contractor further agrees that it shall:
a. File at least annually with the office of the Village Clerk a list of current
membership, its directors, officers and employees hired to carry out the mission of
Contractor.
b. File a copy of the Audited Annual Financial Statement with the Village
Clerk.

THE VILLAGE SHALL PROVIDE THE FOLLOWING SERVICES,
FACILITIES AND EQUIPMENT

9. The Village agrees to provide outside space and to maintain, either

directly or in cooperation with others, the facility, consisting of:
a. A facility currently located at Andrews Lane, Sleepy Hollow, New York
for outside parking of the Contractors ambulance, with hook-up to an electrical supply
line to allow the vehicle an electrical power supply. The Village will also provide a water
source, hoses and materials for washing Contractor's vehicles. It is understood by the
parties that the Facilities set forth above shall be suitable for the purposes of parking said
vehicles. The Facility shall have suitable kitchen equipment, toilets, shower and laundry
equipment.
b. The Village will provide an ambulance to Contractor as described in
Schedule

attached hereto, as well as the equipment presently installed on said

ambulance, together with replacement parts for said ambulance and equipment.
9. The Village further agrees to provide:
a. Fuel, oil, repairs and preventative maintenance required for normal
operation of the vehicles provided by Contractor, as more fully described in Schedule
"

". Fuel shall be made available on a 24 hour 7 day basis, and shall be charged to

Contractor monthly at the contract cost to the village plus a 10% administrative fee.
Invoices will be provided by the Village monthly and shall be due and payable within 30

days from date of receipt.
b. 24 hour 911 dispatching, police and fire services.
c. Support services necessary for the provision of emergency medical
sendees (such as vehicle extraction, lifting assistance, traffic and scene control, etc) as
required from the Village's police and fire departments.
d. Pager(s) and authorized access on existing radio frequencies to allow
contractor's staff to communicate with the Village police and fire department.

GENERAL PROVISIONS
10. The term of this agreement shall commence May
expire May

2002. This agreement shall be automatically renewed for

additional terms of one (1) year, unless either party shall notify the other, no later than
sixty (60) days prior to the end of the term, of its election not to renew. Should this
agreement be so terminated, Contractor shall be permitted to remove any furnishings,
materials or equipment which had not been previously furnished by the Village. All other
equipment and supplies shall be immediately inventoried and surrendered to a
representative of the Village as designated by the Board of Trustees of the Village.
11. It is hereby mutually covenanted and agreed that the relation of
Contractor to the Village under this agreement shall be that of an independent Contractor.

�12. In accordance with the provisions of Section 109 of the General
Municipal Law, Contractor is hereby prohibited from assigning, transferring, conveying,
subletting or otherwise disposing of this agreement, or of its right, title or interest in this
agreement or its power to execute this agreement, to any other person or corporation
without the previous consent in writing of the Village.
13. The Mayor has executed this agreement pursuant to a Resolution
adopted by the Board of Trustees of the Village of Sleepy Hollow, at a meeting thereof
held on

and that Philip Zegarelli, whose signature appears thereafter,

is both duly authorized an empowered to execute this instrument and enter into such an
agreement on behalf of the Village. This instrument shall be executed in duplicate and at
least one copy thereof shall be permanently filed, after execution thereof, in the office of
the Village Clerk.
14. Any and all notices and payments required hereunder shall be addressed
as follows, or to such other address as may hereafter be designated in writing by either
party hereto:

15. No waiver of any breach of any condition of the agreement shall be
binding unless the same shall be in writing and signed by the party waiving said breach.
No such waiver shall anywise affect any other term or condition of this agreement or
constitute a cause or excuse for a repetition of such or any other breach unless the waiver
shall include the same.
16. Either party may terminate this agreement with notice in writing to the
other party, thirty (30) advance of the date upon which service is to be terminated.
17. Any disagreement arising out of this contract or from the breach thereof
shall be submitted arbitration before an AAA approved arbitrator, and judgment
submitted to the court of the State of New York for approval. It is mutually agreed that
the decision of the arbitrator shall be a condition precedent to any right of legal action that
either party may have against the other. The arbitration shall be held under the rules of
the American Arbitration Association.
18. This contract shall be governed by the laws of the State of New York
and venue is proper in the State of New York, County of Westchester.
19. Westchester EMS shall not authorize or permit any work to be
performed by an person or persons not employed by or under contract to Westchester,
except pursuant to a mutual aid agreed, without the prior written consent of the Village.
20. This agreement constitute the complete understanding of the parties.
No modification of any provisions thereof shall be valid unless in writing and signed by
both parties.

Society to receive and hold all seized unlicensed dogs and licensed dogs as
well as stray cats from Village animal control officer and/or police for the
annual fee of $3067.92, payable in monthly installments of $255.66, payable
in monthly installments from the first day of January 2001, up to and
including May 31,2002.

Agreement Between The Village of Sleepy Hollow
And
SPCA of Westchester, Inc

The agreement effective the first day of June
2001, between the village Of Sleepy Hollow, municipal
corporation in the state of New York {hereinafter called the
Corporation} and the SPCA of Westchester Inc.

A charitable

corporation, created and existing under and by virtue of
Special Act of the Legislature of the State of New York
known as chapter 91 of the laws of 1883 {hereinafter called
the Society} and having its office and principle place or
business at 590 North State Rd., in the Town of Ossining,
County of Westchester and State of New York.
The Society, inconsideration of the payment
to it by the Corporation of the sum money to be paid in the
manner and at the time hereinafter particularly describe,
hereby covenants and agree that:
The Society will provide and maintain a
shelter for seized, stray and homeless dogs arid cats. It
will humanely care for all animals in such shelter, which
shall at all times, during the term hereof be under the care
of and charge of a competent employee; and shall be open to
the public Monday thru Saturday, legal holidays exempted,
from 10:00 A.M. to 4:00 P.M., Sunday from 1:00 P.M. to 4.00
P.M.
The SPCA of Westchester will be open to dog
control/animal control officers and police of the
municipality, Monday thru Friday from 8:30 A.M. to 4:00
P.M., exclusive of legal holidays.
The SPCA of Westchester will hold all seized
unlicensed dogs for a period of eight days and seized
licensed dogs for twelve days. The SPCA of Westchester will
abide by the redemption procedures established by the
municipality.

without charge, from residents, which strays shall be
defined for the purpose of this agreement as any cats
or dogs licensed or.unlicensed found; running at large.

WHEREAS, on September 18,2000 a resolution was duly adopted by the Board
of Trustees of the Village of Sleepy Hollow to hold a public hearing on October 24,2001
at 8:00 p.m. at 28 Beekman Avenue Sleepy Hollow, New York to hear all interested
parties on the proposed sale of Village owned property located adjacent to the west side
of 260 Kelbourne Avenue, being approximately fifteen feet wide and 142 lA feet long.
WHEREAS, notice of said public hearing was duly advertised in the official
Newspaper of the Village of Sleepy Hollow,
WHEREAS, said public hearing was duly held on October 24,2001 at 8:00 p.m.
at 28 Beekman Avenue Sleepy Hollow, New York and all parties in attendance were
permitted to speak on behalf of or in opposition to said proposed local law, or any part
thereof, and
WHEREAS, at the public hearing only two parties expressed an interest in
purchasing the aforementioned property from the Village of Sleepy Hollow, one being
Robert Welsh residing at 260 Kelbourne Avenue and the other being Scott Engle and
Penelope Van Niel residing at 274 Kelbourne Avenue, and
WHEREAS, the Board of Trustees of the Village of Sleepy Hollow, after due
deliberation, finds it in the best interest of the Village of Sleepy Hollow to quit claim
deed the aforesaid parcel of property to Robert Welsh residing at 260 Kelbourne Avenue
and Scott Engle and Penelope Van Niel residing at 274 Kelbourne Avenue, and
WHEREAS, the property was appraised by the Village appraiser for a total value
of S6,650 with the easterly segment having a value of $4,248 and the westerly segment
having a value of $2,421, said appraisal being annexed hereto, and
NOW THEREFORE, BE IT RESOLVED, that the Board of Trustees of the
Village of Sleepy Hollow hereby authorizes the Village Manager to quit claim deed the
easterly segment of the property to Robert Welsh residing at 260 Kelbourne Avenue for
the consideration of $4,248 and the westerly segment of the property to Scott Engle and
Penelope Van Niel residing at 274 Kelbourne Avenue for the consideration of $2,421 and
to collect as part of the purchase price from the purchasers any of the costs associated
with the sale of the property including but not limited to the cost of the survey, cost of the
appraisal and the cost to prepare the quit claim deeds.

to table the motion until Village Counsel checked into this further,

Re: Retaining Wall at 1 Holland Avenue.

The retaining wall has been built as per approved engineers drawings. These drawings were also
reviewed and approved by Sleepy Hollow Village engineers.
The required fence has been installed as per approved drawings reviewed by Village Engineers.
Mr. Buonanno is now complaining that he does not have access to Van Tassel Avenue via -village
property running along the property line at 1 Holland Avenue. Any issues regarding such access
to Van Tassel Avenue via Village property should be addressed by a survey of Village Property,
provided by the Village of Sleepy Hollow.
We further believe that any approval of the building permit for such stairs should contain a
condition that Mr. Buonanno indemnify ourselves and any other neighbors from any lawsuits
resulting from use of the stairs and or creation of a gate to the stairs. Our concern stems from the
fact that children may try to open the gate and could be injured, as well as the possibility of
people slipping on the stairs.
