                  <text>A regular meeting of the Board of Trustees of the Village of Sleepy Hollow was held on
Tuesday, October 28,2003 at 8:00 pm in Village Hall, 28 Beekman Avenue, Sleepy
Hollow, New York.
Present: Mayor Philip Zegarelli
Mario DiFelice
Richard Spota
James Hart
Kay Brown Grala
Richard Zieja
Donald Stever

Dwight Douglas, Village Administrator
Robert Ponzini, Village Attorney
Trustee Zieja moved, seconded by Trustee Spota to move out of executive session and
into the regular session. Mayor Zegarelli commented that discussion took place
regarding litigation and PBA negotiations, but no action was taken.
Mayor Zegarelli called the meeting to order with a prayer and pledge to the flag.
Approval of Minutes
Trustee Zieja moved, seconded by Trustee Grala to approve the minutes of October 21,
2003 work session, motion carried.
Approval of Warrants
Trustee Hart moved, seconded by Trustee Spota to approve the warrants %f October 28,
2003 and authorize the Treasurer to pay the bills, subject to review, approval and
signature of the Mayor and Treasurer, motion carried unanimously. The total of the
General fund is $68,600.74, the total of the Water &amp; Sewer fund is $3,159.70 and the
total of the Capital fund is $14,066.13.
Mayor's Announcements
'
Mayor Zegarelli commented that we have received a list of potential ambulance
members.
On November 6 th at 10 pm, the New York State Urban Development Corporation will
hold a public hearing in Columbia Hose to go over the plans submitted by Philipsburgh
Manor.
Trustee DiFelice and Dwight Douglas are in the process of reviewing the list of special
events to be held in our village for the 2004 County calendar.
We have received a turn off notice from Con Edison for 148 Cortlandt Street

The Mayor commented that he attended a public scoping session in Tarrytown on their
proposed Waterfront Development Plan on Monday.
We have sent a letter to the Superintendent of Public Schools asking that they not hold a
referendum during the winter months and we have received a letter back from them.
The Board will discuss this at the next work session.
This past weekend Stephanie McMann and Triple H were married at St. Teresa's
church. We had extra police on for crowd control for which they paid for.
This Thursday the clock on the Municipal Building will be repaired with new parts and
new and different hands on the clock.
We are in receipt of correspondence from Anna Marie McGinnis regarding the
proposed Fremont development.
On December 5 t h , at its 21st annual Senior Citizen Hall of Fame party, Deputy Mayor
Mario DiFelice will be honored by the County.
Mayor Zegarelli commented that we sent a letter to the County regarding the placement
of a blinking lite at the intersection of route 448 and Webber Avenue.
We are in receipt of a letter from our insurance company regarding Auxiliary Police.
We have received a request from Larry Rodriguez to install holiday lights on Valley
Street.
Father Gorman thanked us for helping in the 150th Anniversary Celebration of St.
Teresa's Church/ On November 2™ Cardinal Egan will be coming to St. Teresa's
church.
Mayor Zegarelli reported that we are receipt of a check from Phelps Memorial Hospital
with regard to the false alarms.
The Mayor will be meeting with the senior representative of New York Life Insurance
Co. who purchased the old IBM building on route 9.
We are in receipt of a letter from Wadell Stillman regarding the GM proposal.
Mayor Zegarelli introduced Lois Bronz, County Legislator, who spoke regarding trying
to help the village with Kingsland Point Park and giving us assistance with the situation
on Webber Avenue.
Public Comments
Mario Belanich asked about the senior citizen exemption and the budget transfers,
which the Mayor explained.

Trustee DiFelice read the attached Public Works Report.

Mayor Zegarelli commented that the village is having ongoing tree pruning and removal
for safety reasons to avoid any possible tragedies.
Trustee Spota commented that the Village of Sleepy Hollow has received the Silver
Community Award from the Automobile Club regarding traffic safety, bicycle safety,
etc.
He commented that we had received the pedestrian safety award for 17 consecutive
years before the fatal accident that occurred on Webber Avenue.
Trustee Spota reported that John J. Maffucci will have a book signing of his book the
Sing Sing Connection on November 8th between 12-4pm in Village Hall.
Police Relations Committee met last Monday.
Trustee Hart read the attached Parks Report.
Mayor Zegarelli commented that the tentative date for Sleeepy Hollow Day of
Remembrance will take place on Sunday, December 14 tn .
Trustee Grala had no report.
Trustee Zieja read attached correspondence from the Fire Council. Trustee Zieja
moved, seconded by Trustee Grala to confirm the appointments, carried.
Trustee Stever reported that there will be no Waterfront Advisory Council meeting in
November. He commented that proposals must be submitted in advance for the
December meeting.
He commented that the Mayor and Board are looking at a series of amendments to the
Zoning Board code and updating the code.
The Board will have a set of proposed amendments to present to the Planning Board for
their review hopefully before the end of the yean

Dwight Douglas reported that 49 London Plane trees have arrived and will be planted
shortly along route 9.

Whereas, the Board of Trustees of the Village of Sleepy Hollow recognising the
needs of individuals with disabilities, and as a member of the North East Westchester
Special Recreation Consortium offers a program of Therapeutic Recreation Services for
individuals with disabilities, now,

Therefore be it resolved that, The Village Board of the Village of Sleepy
Hollow authorizes the Mayor of the Village of Sleepy Hollow to execute the attached
agreement with North East Westchester Special Recreation, Inc., in the amount of
$5,048.33 to provide the services described above. Said agreement shall be effective for
calendar year 2003 and upon further agreement of the parties, rhSy be~arriehded and/or

WHEREAS, on or about August 14, 2001, Ginsburg Development, LLC, ("the Applicant") submitted a
formal application for Special Permit and Concept Plan Approval ("the Proposed Action) to the Mayor and Board of
Trustees of the Village of Sleepy Hollow, New York ("the Village Board") with related approvals from otto
Village agencies for the construction of a mixed-use riverfront development to be known as "Ichabod's Landing1

approximately 3.4 acres of upland area of an approximately 5.2 acre site also known and designated oh the tax
assessment map of th« Village of Sleepy Hollow as Section 16, Block 1, Lot 1 ("the Site"); and

WHEREAS, the Applicant's initial proposal called for a development comprised of 50 residential
townhouses (16 of which included a live-work component) in three buildings, 9,500 square feet (SF) of retail, 155
off-street parking spaces, and related accessory uses With approximately 20 percent of the Site proposed to be
dedicated as public open space; and

WHEREAS, on August 28,2001, the Village Board declared their intent to act as the Lead Agency under the
State Environmental Quality Review Act ("SEQRA") for this matter and did cause to be circulated a Notice of Intent
to Act as Lead Agency to all other Interested and Involved Agencies fpr their comment; and

WHEREAS, on October 9,2001, after circulation of the Notice of Intent to Act as I ead Agency, the Village
Board, at a regularly scheduled meeting, declared itself to be Lead Agency in this matter; and

WHEREAS, the Planning Board of the Village of Sleepy Hollow (the Planning Board) is an involved agency
permit as per Chapter 62-5.1 Q and Chapter 61 of the Village Code, respectively; and
under SEQRA by virtue of the Planning Board's ability to grant final site plan approval and wetlands/watercourse

WHEREAS, on October 9,2001, the Village Board determined that the application is an unlisted action and
issued a Positive Declaration indicating that the proposed action may have significant adverse impacts as defined
under SEQRA and that a Draft Environmental Impact Statement ("DEIS") is required to be prepared; and

WHEREAS, on October 9, 2001, the Lead Agency did circulate a draft scoping outline that identified
tential issues to be addressed in the DEIS and directed that a public scoping session be held on October 23,2001

WHEREAS, on October 23, 2001, the Lead Agency did hold a public scoping session where the Lead

WHEREAS, on May 24,2002, the Applicant submitted a preliminary DEIS for review by the Lead Agency
with respect to scope, content, and adequacy; and

WHEREAS, the preliminary DEIS was reviewed by the Lead Agency, Village Staff, and Village
Consultants, and the preliminary DEIS was accepted by the Village Board as complete on August 20,2002 with
respect to scope and content for the purpose of commencing a public review and issued a Notice of Completion

WHEREAS, on September 19, 2002 and October 17, 2002, the Applicant appeared before the Planning
Board for preliminary review of the site plan and DEIS and to obtain comments thereon; and

WHEREAS, on October 21, 2002, the Applicant appeared before the Village's Waterfront Advisory

Committee (WASC) for preliminary review and to obtain comments on the Project; Proposed Action; and

WHEREAS, the Lead Agency adjourned the public hearing until November 12,2002, when it reopened the

public hearing to accept additional comments; and

WHEREAS, on November 12, 2002, the Lead Agency did close the public hearing but kept the public
comment period open until December 20,2002, to permit adequate time for the receipt ofwritten agency and public

WHEREAS, on September 16,2003, a duly noticed public hearing was opened and held on the FEIS where

Lead Agency allowed for additional time for the submission of written comments, extending until September 30,

2003;and

WHEREAS, on September 3, 2003, the Applicant did appear before the Village WAC for a consistency
review with respect to the goals and policies detailed in the Village's Local Waterfront Revitalization Program
(LWRP);and

WHEREAS, the WAC at their September 3,2003 meeting did make a consistency finding recommendation
that the proposed Project was consistent with the goals and objectives contained in the Village's LWRP; and

related documents, comments receivedfromthe public, Involved and^Interested Agencies, andfromVillage Staff

(

N.Y.C.R.R., Section 617.11:

I
1.

Land Use and Zoning

f

The proposed Project is consistent with the existing and contemplated land uses within the RF-Riverfront
Development District. The proposed Project is located in the southwest portion of the RF-District on 3.4+/acres of upland ar«a. Existing land uses on the Site includes vehicular and material storage.

I
Surrounding land uses include: the currently vacant 96± acre General Motors property for which there is a
Draft EIS being prepared as part of the Lighthouse Landing at Sleepy Hollow project to the north; vacant
land owned by General Motors, light industrial and the Village's DPW facility to the east; the Village's
Horan's Landing Park and Castle Oil distribution facility to the south; and the Hudson River to the west
The Project conforms to the RF-Riverfront Development District zoning requirements as set forth in Chapter
62-5.1. Y of the Village Zoning code. The Project is in compliance with objectives of Chapter 62-5.1 of the
Zoning Code including: comprehensive design with respect to compatibility of the site design to surrounding
properties, architectural quality and site layout; waterfront compatibility with regard to the provision of
significant open space area along the Hudson River waterfront and the accessibility ofthat area to the public
by way of a paved promenade; environmental enhancement in the form of reduced overall site impervioM
surface area compared to existing conditions, stormwater management system and restoration of the existing
deteriorating bulkhead; economic stimulus by way of redevelopment of an existing incompatible land use,
creation of new retail uses, generation of sales taxes and enhanced property taxes; protection of important

viewsheds identified by the Village of Sleepy Hollow in their LWRP and opening a waterfront resource to
the public when it was previously unavailable; enhancement of the site through the incorporation of
landscaping and improvements to a portion of the Village's Koran's Landing Park esplanade connector;
provision of adequate parking to serve the proposed uses; and, adherence to design standards related to
floodplain development.

The Project was compared to existing planning documents including the VUlage's Waterfront Linkage
Study (Linkage Study), Westchester County's Patterns for Westchester and the Regional Plan Association's
Third Regional Plan. The Project is consistent with the Village's Linkage Study by way of proposed mixed
uses, architectural design, linkages to other important existing and proposed land uses within the Village and
incorporation of significant open space. The Project is consistent with the policies set forth in Patterns
particularly as it relates to the placement of development in existing centers served by public infrastructure
and mass transportation. Further, the density proposed for the Project atl2.9 units per acre is below that
suggested in Patterns (13 to 51 units per acre).

The Village Board finds that the proposed Project is compatible with the adjacent lands uses, and, to the
extent that the Lighthouse Landing project moves forward, with that project as well. The Village Board
further finds that the proposed Project will not impose a significant burden on Village utilities, and, as set
forth in greater detail below, will not have a significant impact on traffic on adjacent roads and streets.

2.

Population
As proposed, the Project will increase the permanent population ofthe Village, but will provide an upscale,
architecturally distinct housing resource within the Village. Approximately 100 new residents are
anticipated as a result of theproposed Project, including an estimated 12 school-age children. The Village
has prepared its own Recreation and Open Space study in 2001. That study identifies a need for additional
active recreation facilities within the Village to serve existing and anticipated population growth.

While the Applicant has provided permanent public pedestrian access opportunities there is a noted lack of

active recreation facilities incorporated as a part of the conceptual site plan. The Applicant has prepared a
conceptual improvement plan for adjacent Horan's Landing and offered to dedicate a portion of their
property to the Village, which the park currently encroaches upon. The Village Board finds that there will
be an impact to the provision of recreation services by way of additional increases in population. The
amount of the recreation fee or other suitable improvements, will be determined during the course of the
special permit and/or site plan review as appropriate and required for a Riverfront Development The
provision of a recreation fee, or other suitable improvements, would mitigate potential impacts related to the
provision of active recreational resources. • " . . - - - * ! *
Community Facilities

The proposed Project is anticipated to generate to approximately $427,177 in tax revenue to all taxing

jurisdictions, of which approximately $230,675 would go toward the School District of the Tarrytowns.
Given the current unit mix of 14 three-bedroom units and 30 two-bedroom units, it is projected that the

Project would generate 12 school-age children. Based on estimates provided as part of the F,IS, the proposed
Project would generate a surplus of school tax revenue (12 school-age children x $ 15,000 avg. cost per year
= $180,000 cost for education). The proposed Project would be set up as a unit-owners association; such
association would be responsible for mamtairring the internal Site roadways and providing solid waste
pickup. In addition, the Applicant has made a commitment that the unit-owners association established as
part of the Project, would contribute a» dollar amount to be determined as part of the special permit process
for the routine ongoing maintenance of the public access area. '

The Village Board finds that the Proposed Action will not have a significant adverse impact on municipal
services, other than that identified in 2. Population above. The Village Board also notes that the Applicant is
responsible for, among other things, site plan application and professional review fees, building permit fees,
electrical, plumbing and sprinkler permit fees, sewer and water connection fees, ARB fees, certificate of
occupancy fees and recreation fees.
4.

Water Supply
The Project is anticipated to generate a daily demand of±\ 4,840 gallons, which is approximately 1.2 percent
of peak daily demand for the Village (approximately 1.2 mgd). The Westchester County Department of

Health has noted in correspondence to the Village, that no Realty Subdivision can be approved until the

water supply has been determined to be adequate. The Applicant has responded by incorporating a dry
hydrant system connected to the Hudson River. The Village is presently preparing plans for an updated and
expanded water storage facility and is conducting an engineering study and environmental review of the

proposed water supply improvements. The Village Board finds that the Project, with the proposed
mitigation, will not have a significant adverse impact on the water supply to the Village as a whole.
However, the Village Board finds that to mitigate the impact of the Proposed Action on water supply
infrastructure to the Village, the Applicant contribute a proportionate share towards the cost of the water
supply improvements or towards the cost of the engineering study required to put the water supply

improvements in place.

Sanitary Sewer

The development of the project is anticipated to generate 13,500± g.p.d. of wastewater. The Applicant

proposes to construct a new manhole over the Village's existing 8-inch sanitary sewer main at the site's

southerly frontage on River Street Further, the Applicant has committed to inspecting, and if necessary,
through consultation with the Village Engineer,replacingapproximately 75 feet of existing cast iron sewer
with new 8-inch PVC sewer main. The Westchester County Department of Environmental Facilities has
stated in correspondence provided as part of the subj ect EIS that there is sufficient capacity in the Tarrytown
Interceptor Trunk Sewer and the Tarrytown Pump Station. The Village Board finds that proposed
improvements adequately mitigate any potential adverse impact ofthe Project on the sanitary sewer system
serving the Village as a whole.

Traffic

Traffic analysis for the Project has been carried out and presented in the EIS for this Project The proposed
Project will add approximately 43 vehicles, (13 entering, 30 exiting) in the weekday AM peak how, 44

vehicles (27 entering, 17 exiting) in the weekday PM peak hour and 44 vehicles (23 entering, 21 existing) in
the Saturday peak hour. Trip generation estimates were prepared for the proposed Project based on trip
generation data published by the Institute of Traffic Engineers (ITE) as contained in the Trip Generation
Handbook, 6th Edition, 1997.

.

The traffic study considered the potential impacts of the Project on 12 intersections. The Project's traffic
impact was determined by comparing existing traffic conditions to future traffic conditions in the 2003

I

design year without the Project and to traffic conditions with the Project; these conditions are identified as
the "2001 Existing Conditions," "2003 No Build Conditions" and "2003 Build Conditions."

When distributed over the surrounding roadway system, the number ofvehicles added by Ichabod's Landing
is relatively low compared to the "2003 No-Build" traffic volume.

Traffic analysis performed by the Applicant and submitted to the Village were independently reviewed and
analyzed by the Village's traffic consultant, STV, Inc., as well as other Village consultants.

Resurfacing of the River Street pavement along the property frontage at the conclusion of the
- site construction process. Streetscape amenities along the frontage of the property such as
curbing, lighting sidewalks, landscaping and street surfacing as required will be prepared as
part of the final site plan review process.

Given the relatively low volume of traffic to be generated by the Project in comparison to the overall
in the area, the Village Board finds that there is no significant adverse impact from traffic on the local
roadway system.

Site access is provided by way of a 30-foot wide two-way entrance driveway. The width of the driveway
was initially determined through input from the Village's Fire Department who wanted to make sure that
appropriate apparatus could be brought on site. Comments were raised during the public review period for
the FEIS suggesting that the width be narrowed to reduce the amount of impervious surfaces on-site. The
Applicant has indicated that the driveway could be reduced to 26 feet and still be able to accommodate a
tower ladder truck, although that would require the use of mountable curbing. The actual width ofthe access
driveway will be determined by the Planning Board as part of the Final Site Plan approval. Further, t f l
width of the promenade has been designed so that EMS vehicles may access i t Additional access points
include an access drive on the western portion of the site between buildings 3 and 4, and, emergency only
access from the parking area between Buildings 1 and 2.

The proposed site plan provides for parking to accommodate 131 vehicles: 107 spaces for residential uses
and 24 for commercial/visitor parking. Each of the residential units will have a minimum of two dedicated
spaces, one in the garage and one in the driveway. Of the 31 courtyard spaces identified on the plan, 14 are
allocated to the retail use, 10 allocated to visitor parking and the remaining seven would be used for resident
parking. The amount of proposed parking (131 spaces) exceeds that required under zoning (109 required)
and is determined as per Chapter 62-14.E of the Zoning Code (1 space per unit plus 1/2 space for each
bedroom). A total of two spaces would be required for each two-bedroom unit and 2.5 spaces for a threebedroom unit. The conversion of two-bedroom units to three-bedroom units or three-bedroom to fourbedroom units is linked to the availability of the remaining seven parking spaces. The Applicant has agreed
to a restriction in the project-offering plan that would prohibit the conversion of any additional loft spaces,
or any first floor spaces, to additional bedrooms beyond what the Zoning Code would allow.

The Village Board finds that, given the Applicant's restriction in the project offering plan on the conversion
of loft space and first floor space to additional bedrooms, there is adequate parking to service the
development. The Village Board further finds that the proposed Site access drive is sufficient at 26 to 30
feet in width, to accommodate Village emergency service vehicles and, if necessary school buses and defers
the eventual driveway design to Final Site Plan Approval. Further, the design of the waterfront promenade
has can also accommodate EMS vehicles. The Village Board finds that there is adequate access to service
the Site.

The majority of the Project Site, as well as most of the properties west of the Metro-North rail line was
created as a result of fill after construction of the railroad. The soil survey of Westchester County classifies
the on-site soil as Uf-Urban Land. The Applicant prepared a series of soil borings, which document the
specific conditions and limitations of the on-site soils.

The site topography is characterized by a relatively level slope condition; approximately 98 percent of the

Approximately 96 percent of the Site is impervious surface. The balance of the Site (±0.2 acres) supports
lawn area or limited mature vegetation.

A combined Phase I and II Environmental Site Assessment (ESA) was prepared in conformance with the
procedures set forth by the American Society for Testing Methods (ASTM). The ESA indicates that one, or
possibly two, underground storage tanks (UST's) may have been present and further investigation revealed
the presence of a single tank which has been removed in accordance with procedures outlined inNYSDEC
guidance documents. While slightly elevated concentrations of metals were present in a number of soils

samples, the marginal excesses of those soils do not require removal and off-site disposal and do

sediment control plan in conformance with Westchester Cqunty's Erosion and Sediment Control Best

Air Quality
Air quality may be temporarily impacted due to dust emissions during site disturbance for construction.
These impacts will terminate when construction is completed. The Applicant wil! be required to use best
management practices and otherwise to take all appropriate steps to control dust emissions, including
watering of exposed areas and mandatory dust covers for trucks. The Village Board finds that with the
implementation of the indicated control measures during construction, there will be no significant adverse air
quality impacts from fugitive dust emissions.

minimal noise levels will be generated by residents, employees, deliveries, visitors and exterior mechanical

activities to daytime hours and in accordance with all applicable rules, regulations and Village Codes.

Cultural Resources
The Applicant has prepared a Cultural Resources report consisting of a Stage 1A Literature Review (Stage
1A Report). The results of the survey indicate that the 1883 Lighthouse is the only historic structure within
the vicinity of the site (approximately 0.25 miles distant). The Stage 1A Report noted that there were no
know archaeological sites within the boundaries of the Project area, given that the vast majority of the site
was created through the deposition of fill material.

The Project was considered by the Village's Waterfront Advisory Committee (WAC) for review and

recommendation regarding consistency with the Village's Local Waterfront Revitalization Program

�(LWRP). On September 3,2003, the WAC found that the Proposed Action Project was consistent with the
goals and policies outlined in the LWRP. The Mayor and Board of Trustees are Jequired to consider the
WAC's recommendations prior to making the Village's own Findings of Consistency on the LWRP for the
Proposed Action.

Site Drainage
The Project is located within the Hudson River Drainage Basin. The site does not have stormwater runoff
from surrounding properties enter or cross the Site, and is effectively isolated from the existing stormwater
systems in the vicinity of the Project Site.

The proposed design reduces the amount of total impervious surfaces from approximately 96 percent under
existing conditions to approximately 61 percent in the post development condition. As a result, the peak
rates of runoff for all storm events will be reduced under the post development condition.

The installation of the stormwater quality system is a requirement of the Phase II Stormwater Regulations
enacted by the Environmental Protection Agency wide- the Clean Water Act and by the implementing
requirements of theNYS Department of Environmental Conservation's SPDES General Permit No. GP-02!

Waterfront Improvement Design Alternatives
The Applicant has prepared a series of alternate designs for the waterfront treatment and adjacent
open space area. These alternative designs included:

Bulkhead treatment for the approximately 410 linear feet of bulkhead at the southwest corner of the
Site. This hard edge treatment was originally part of the Applicant's initial design proposal but was

Resolution of the Board of Trustees of the Village of Sleepy Hollow
Authorizing Execution of Contract With Hackensack Roofing Co.
Village Hall Roof Replacement
Whereas, during the installation of antenna equipment on the main roof of the Village
Hall building at 28 Beekman Ave., by Verizon Wireless of 4 Centerock Road, West
Nyack, New York 10994, damage to the roof was incurred and subsequent patching
determined inadequate by the Village's consulting engineer, Charles A Manganaro, and
Whereas, subsequently the Village's consulting engineer determined that a new roof
would be required and a via solicitation of proposals from four qualified roofing
contractors, four proposals were received and a low bid proposal of $17,900 obtained
from Hackensack Roofing Co. of 83 First Street, Hackensack, New Jersey 07601 for the
replacement of said foof, and

Whereas, the Village's consulting engineer has recommended that said bid be accepted
with certain minor modifications which will increase the full cost of roof replacement to
an amount not to exceed $ 18,500, and
Whereas, pursuant to negotiations with the Verizon Wireless a verbal agreement has been
reached for Verizon Wirelsss to contribute $12,000 toward the installation of said new
roof, noting that its useful life roof was coming to an end in any event, and

Whereas, pursuant to negotiations with T-Mobile of 76 Progress Drive, 2nd Floor,

INTER-MUNICIPAL AGREEMENT

AGREEMENT, made the

day of

THE COUNTY OF WESTCHESTER, a municipal corporation of the State of
New York, having an office and place of business in the Michaelian Office
Building, 148 Martine Avenue, White Plains, New York 10601,
(hereinafter referred to as the "County")
and:

THE VILLAGE OF SLEEPY HOLLOW, a municipal corporation of the State
of New York, having an office and place of business at 28 Beekman Avenge,
Sleepy Hollow, New York
(hereinafter referred to as the "Municipality")

WHEREAS, on March 2,2000, the County entered into an agreement with
Cablevision Lightpath, Inc. ("Cablevision") for the provision of full voice, video and data
transmission services along a high-speed telecommunications network over a five year term (the
"Cablevision Agreement"); and

WHEREAS, under the terms of the Cablevision Agreement, Cablevision is
providing to the County a new state-of-the-art, secure, cost effective, and reliable
telecommunications network; and

WHEREAS, the Cablevision Agreement also provides that Cablevision will
allow other municipalities in Westchester County to avail themselves of these services under the
same terms and conditions; and

WHEREAS, the Municipality is desirous of receiving the aforementioned
services from Cab! evisio* under the terms and conditions of the Cablevision Agreement; and

WHEREAS, the Municipality may also request certain ancillary administrative
and technical services from the County. I

NOW, THEREFORE, in consideration of the mutual representations, covenants
and agreements herein set forth, the County and the Municipality, each binding itself, its
successors and assigns, do mutually promise, covenant and agree as follows:

FIRST: The Municipality shall receive voice, video and data transmission
services from Cablevision pursuant to the terms of the Cablevision Agreement, which is
incorporated herein and made a part hereof by reference.

SECOND: The Municipality shall pay Cablevision directly for any services it
may receive. In no event shall the County have any liability for amounts due from the
Municipality to Cablevision or for damages, direct or indirect, arising out of the provision of
services by Cablevision to the Municipality.

THIRD: The Municipality agrees
(i) that except for the amount, if any, of damage contributed to, caused by
or resulting from the sole negligence of the County, the Municipality shall indemnify and hold
harmless the County, its officers, employees and agentsfromand against any and all liability,

damage, claims, demands, costs, judgments, fees, attorneys' fees or loss arising directly or
indirectly out of this Agreement; and
(ii) To provide defense for and defend, at its sole expense, any and all
claims, demands or causes of action directly or indirectly arising out of this Agreement and to
bear all other costs and expenses related thereto.

FOURTH: This Agreement shall commence on the first day of the month in
which the Municipality first receives services pursuant to the Cablevision Agreement
("Commencement Date") and will expire on the day before the fifth anniversary of the
Commencement Date, or the expiration or termination of the Cablevision Agreement, whichever
is earlier.

FIFTH: The County reserves the right to cancel this Agreement on sixty (60)
days written notice to the Municipality.

SIXTH: Ifthe Municipality requests administrative services from the County
relating to the provision of services under the Cablevision Agreement, and the County agrees to
provide such services, the Municipality will be charged an administrative fee equal to the
County's cost. Should the County also provide related technical services, the Municipality will
be charged as if they were an internal County department. Attached hereto and made a part
hereof as Schedule "A" is a list of services and the associated charges. The County reserves the
right to amend this list upon thirty (30) days notice to the Municipality. The Municipality shall
then have the right to cancel this Agreement on ten (10) days notice to the County so long as such
notice is received by the County prior to the effective date of the amended list

SEVENTH: Confidential Information means all, or any part of, and originals or
copies of, any information, in whatever form embodied (e.g. oral, written, electronic) that the
County has identified in writing as confidential at the time of disclosure. Specifically excluded is
information (a) that at the time of disclosure was, or becomes, part of the public domain (through
a source other than the Municipality); (b) lawfully obtained from a third party that was not under,
and did not impose, an obligation of confidentiality with respect to such information; (c) that is
independently developed by the Municipality, or (d) that was known by the Municipality prior to
disclosure by the Gounty. Confidential Information does not include any ideas, concepts or - : know-how.

The Municipality shall not disclose Confidential Information to third parties
without the express written consent of the County. The Municipality agrees not to remove or
obscure proprietary rights notices that appear on Confidential Information and copies thereof;
and shall return or destroy, as the County may direct, all Confidential Information upon demand.
The Parties acknowledge that nothing in this Agreement shall be construed to change the
Municipality's obligations under the applicable Freedom of Infonnation Law or any other
disclosure obligation imposed upon the Municipality by any applicable local, state, or federal
law, rule or regulation that currently exists or is enacted or promulgated during the term of this
Agreement, or by the judgment or order of a court or aa^ninistrati ve agency or body having
jurisdiction over the Municipality.

EIGHTH: This Agreement shall not be enforceable unless signed by the parties
and approved by the Office of the County Attorney.

VILLAGE OF SLEEPY HOLLOW
WATERFRONT OPEN SPACE PLAN DEVELOPMENT
Section 1. The Village has entered into an agreement with Beyer, Blinder St Belle and
EDAW, Inc. countersigned by Roseland Property/ the developer of the General Motors
site, to work with interested groups and citizens at large on the development of a
master open space plan for the Village's Hudson River waterfront.
Supervision of the project will be undertaken by the Village Administrator, Dwight H.
Douglas, 28 Beekman Avenue, Sleepy Hollow, NY 10591, (914) 366-5105.
The Organization address is 28 Beekman Avenue, Sleepy Hollow, NY 10591.
A $10,000.00grant has been requested from a total project cost of $58,000.00. It is
anticipated that half of the project dollars will be provided ijy the private development
Roseland Property.
The project is to commence November 2003; completion is the end of February 2004.
Section 2. Attached piease find a duly executed resolution authorizing the submission
of the aforesaid application arid indicating that the applicant is a municipality within
New York State.
Section 3. See attached scope of work which dearly defines the development of a
master plan to provide public access; publk&gt; recreation and to redaim property for the

Waterfront Redevelopment
Conceptual Open Space Design Plan
The Village of Sleepy Hollow has an opportunity to comprehensively plan and design
prospective open space to be provided as part of the proposed Lighthouse Landing at
Sleepy Hollow river .front development and to integrate it into the existing Village open
space fabric.

The Village has identified five (5) major goals listed below:
Creation of a world class waterfront park that serves both the needs of
present and future residents of the Village and as a destination f3r the region;

adjoining
commercial/restaurant/residential uses, and interconnect with existing parkland,
road and trailways and the Philipsburg Manor Restoration.
Design of a "Riverwalk" trail segment along the waterfront perimeter of the
I :'•• v 96+ acre GM site, the 3.6 acre Ichabod's Landing site, kingsland Point Park and :
' ' : connecting to the^illage's surrouHdingtrail network at pevries Park, Barnhart
Park and planned arid existing^sections; ofthe Horseman's Trail. .

"- DeVries Park; KffigsiandrPo^
of the General Motors site, including such existing/contemplated uses as soccer, community
pool, in-line hockey, baseball, Little League and paddle tennis, together with
supporting roadways,parking and buffering of adjoining properties.
Development of a preliminary schematic plan for uses contemplated for the
east side of the GM property, including a new senior citizen housing complex
and expansions by Historic Hudson Valley (HHV) (Philipsburg Manor) and
Village of Sleepy Hollow (DeVries Park and DPW). The schematic master plan
for this portion of the site would incorporate components illustrated in the
Frederick P. Clark Associates (FPCA) concept plan prepared for HHV and a
plan prepared by Hahn Engineering for the Village DPW facility. The schematic
plan would also focus on the potential connections to Barnhart Park aiid DeVries
..... Park, common parking opportunities, field locations, and recommendations on

Identification of streetscape improvements for the area along Beekman Avenue
between the proposed Lighthouse Landing and Teresa Street and along Barnhart
Avenue as a gateway into Barnhart Park.
The end product would be the creation of a schematic master concept plan integrating
the land areas in arid around the GM site and the Inner-Village. The schematic master
concept plan would include: a rendering of a new waterfront park highlighting other
active and passive recreation uses; details on street furniture, gazebos, shelters, kiosks,
bandstands, lighting, etc.; details on walking materials; conceptual designs and
locations for public piers and other water related features; schematic waterfront
planting plan accommodating the influence of weather and salt spray from the Hudson;
and conceptual locations for parking to serve the waterfront and other open space
resources.

The day-to-day coordination of the report will be conducted with Dwight Douglas,
Village Administrator and David B. Smith, Saccardi &amp; SchifT, Inc., Village Planning
Consultant. The Village Board of-Trustees, with considerable public input and input
from involved and interested parties as detailed below, will be the decision making
body regarding final plan components.

Resolution of the Board of Trustees of the Village of Sleepy Hollow
Claim Settlement

I

WHEREAS/ on or about August 25, 2003, a dump truck owned by the Village of Steepy
Hollow and operated by an employee of the Village of Sleepy Hollow did back into and
otherwise cause structural damage to a building owned by Karta Container Co., and
WHEREAS, such accident occurred while the employee was acting in the course of his
employment, and
WHEREAS, this matter has been investigated by our adjusters, Gallagher &amp; Sassett, and
they have recommended settlement in the adjusted amount of $16,583.05.
NOW, THEREFORE, BE IT RESOLVED, that the Village of Sleepy Hohow, in return for a
general release of all daims, present and future, authorizes the settlement of the claims
of Karta Container Co. for the incident of August 25, 2003 in the amount of $16,583.05.

I reviewed the claim of Carter Container that was sent to you by our adjuster,
Susan Booth of Gallagher s, Bassetc. I called her today to review the facts. On
August 25, 2003, Michael Smutek of the Village DPW was delivering a truck load of
recycled material to Carter Container in Peekskill. He was alone in the truck and
did not have an assistant from the Village with him. He had made deliveries of
this nature to the same location on prior occasions. On this date he drove his
truck to the loading/unloading area, backed up, did not look/see where he was going
and hit a structural beam causing significant structural damage to the building.
These facts are based upon a telephone interview of Mr. Smutek conducted by Ms.
Booth this day at my request. He indicated that no one from Cartel- Container was
present to assist him in backing in, but under the vehicle and traffic law of the
state of new york, unsafe backing :1s strictly the responsibility of the driver.
Our adjusters sent an independent adjuster, Antonucci Adjusters, who adjusted the
loss in the amount of $16,583.05. The claimant estimated the loss at $16,825.15.
Our adjuster request that we settle the claim for her adjusted amount.

This appears to be a claim of almost strict liability. A combination of the
admissions of our driver/employ&amp;e and the vehicle &amp; traffic law precludes any
rational and legally sustainable defense. The Village may want to review the
handling of this matter by the employee - it is somewhat disturbing that someone
who is an established driver can back up a. truck to such an extent to cause this
