Present: i Mayor Philip E. Zegarelli Mario DiFelice Don Stever Jim Hart Kay Grala Richard Zieja Richard Spota Trustees Also Present: Dwight H. Douglas, Village Administrator Robert Ponzini, Village Counsel David Garcia, Village Prosecutor David Smith, Planning Consultant Abe Zambrano, Treasurer At 7:00 p.m. Mayor Zegarelli called the meeting into executive session in order to receive a report on litigation matters before the courtfromprosecutor Garcia. The Board came out of executive session at 7:30 p.m. and began review of its work session agenda. At 8:10 p.m. the Mayor called the board into special session to review and act on certain matters as noted below. On a motion of Trustee Hart, seconded by Trustee Zieja and carried unanimously the Board of Trustees ratified thefollowingMayor's appointments to the ambulance corps: Madeline Camarda Reena Jose I 174 Beekman Avenue Marymount College On a motion of Trustee Hart, seconded by Trustee Grala and subject to the review, and approval of the Mayor and Village Treasurer the warrant of November 4*, 2003 and any vouchers as consolidated in said warrant were unanimously approved. During the special session, the attached resolutions were duty acted on as noted. 'ri. r * �510 Meeting Date: 11/04/03 Resolution: # 11/213/03 Resolution To Contract Clover Hexting & Cooling To Maintain and Repair The Village's Cooling and Air Conditioning Systems Whereas, in order to protect and maintain the heating and cooling and to protect the investments in such equipment, the Village sought to obtain a maintenance service agreement with Clover Heating & Cooling of 223 Gordon Avenue, Sleepy Hollow, NY 10591. Whereas, said contract will cover the heating and air conditioning systems at the Municipal Building, Rescue Hose, Union Hose, Ambulance Building, Eastview Pump Station and the Catskill Pump Station for a period of one year commencing on October 1, 2003 through and including September 30,2004. Now, Therefore, be it Resolved, that the Board of Trustees of the Village of Sleepy Hollow authorizes the Mayor of the Village of Sleepy Hollow to sign the aforementioned service agreement with Clover Heating and Cooling to maintain the heating and cooling systems located at the above referenced Village locations and to take other such steps as are necessary to effectuate the intent of this resolution. In return for your timely payment described herein, we agree as follows: . 1. To give Clover service agreement owners preferential service over non-agreement owners. 2. To start up your air conditioning system for summer operation. 3. To close your air conditioning system for winter operation when heating system is a part of the system, and is listed as part of the equipment 4. To provide overtime labor at our regular rate ($90 first half-hour and S4S for every half-boar after), instead of time and a half to non-agreement owners. 5. Our service includes wire brush cleaning of the condenser coil Does not include repair or adjustments due to abuse, neglect, fire, freeziEg, flood, failure, of power supply, oil or gas supply (Le. out of oil, natural gas line failure, clogged oil lines, water infiltration and frozen lines) changes or repairs due to City, State or Federal code or insurance requirements, or any acts beyond Clover's control, done by owner, his agent or anyone else having access to the equipment As yon understand, Clover cannot be held responsible for system design or acts of God. We will furnish yon with the services specified for the agreed cost of $3605.00a year (plus tax) any alterations or deviationsfromthis payment schedule must be made mwrhing and signed by - both of us. None of our technicians are authorized to bind Clover or to make any agreement on our behalf. We will endeavor to provide you with reasonably prompt service on all service calls during the terms of this agreement at no charge. Please not, however that services rendered because of accident, abuse, neglect in operation, fire freezing, flood, failure of power supply, oil supply or causes beyond our control is not included in this agreement and must be paid for as an extra. Nuisance calls not due to a . mechanical failure will be invoiced as an extra Mechanical failures of parts not listed will be billed as an extra. Repairs made not covered will be billed on a time and material basis. We are not responsible for failure to render service because of strikes or any other contingency beyond our control. If you allow other individuals other than our technicians to service your equipment This agreement, may at our option, be considered null and void and no refund will be made. In consideration for the nominal amount charged for the service to render under this agreement, it is understood and agreed that Clover and its employees shall not be held responsible for any loss or damage arising from any failure of equipment to operate. Clover assumes no responsibility for losses or damage to property or injury to persons by reason of any adjustment, repair or replacement it makes. Some equipment may require the use of water, re-circulated or otherwise. If the water used in the equipment is, or becomes, contaminated or leaks and neither the extent nor nature of such contamination or leak could have been predicted in advance, you hereby release Clover from any liability due to such leak or contamination. You agree to make all payments due thereunder and pay invoices within thirty days of invoice date. If you fail to timely make payments due us, we at anytime, at our option, declare this agreement null and void and no refund will be made. We may also withhold service if payments due to us are in arrears, and wait to resume services if payments due to us are still in arrears are paid in full Any with holdings of services shall not make us liable to you for any counter claim. You also agree to provide the technicians with reasonable and safe access to all equipment to be serviced. That the Mayor is herein designated as the village's representative authorized to act in behalf of the Municipality's in all matters related to State assistance under ECL Article 56, Title 5.
