May 31, 2005

In attendance:

Trustee Mario DiFelice
Trustee Thomas Capossela
Trustee Kay Brown Grala
Trustee Andrew Murray
Trustee Richard Zieja

A Special Meeting was called to order by the Mayor at 7:15 p.m., a notice having been
duly provided to the public. The Mayor discussed the need for the Special Meeting in
regard to two resolutions.
Resolution 1 (see attached): Stipulation of Settlement in Trent/Kennedy et. al. v.
Village of Sleepy Hollow was moved by Trustee Murray and seconded by Trustee
DiFelice. A roll call vote was held: Ayes: Trustee DiFelice, Trustee Capossela, Trustee
Grala, Trustee Murray arid Trustee Zieja. Noes: None.
Resolution 2: Upon discussion regarding the execution of an employee stipulation
agreement provided by special counsel Craig Olivo relating to Village employee Charles
DePaolo, it was moved by Trustee DiFelice and seconded by Trustee Capossela that the
Mayor be authorized to sign appropriate documents evidencing the employee stipulation
agreement, subject to typographical or non-material changes. A roll call vote was held:
Ayes: Trustee DiFelice, Trustee Capossela, Trustee Grala, Trustee Murray and Trustee
Zieja. Noes: None.
There being no other business, it was moved by Trustee Capossela and seconded by
Trustee Grala to adjourn at 7:25 p.m.

Authorizing the Mayor, Village Attorney &amp; Building Inspector
To Sign Stipulation of Settlement

RESOLVED, that the Board of Trustees of the Village of Sleepy Hollow authorizes the
Mayor, the Village Attorney, and the Building Inspector to sign the Stipulation of
Settlement in the Matter of Trent/Kennedy et.al. versus the Village of Sleepy Hollow et.
al. now pending in the Supreme Court of Westchester County.
